14. The MUNICIPALITY will pay GREAT LAKES 10% of total EMS revenue <br />collections per month. The MIJNICIPALITY will issue payment to GREAT <br />LAKES within 10 days of receipt of invoice from GREAT LAKES. <br />MLTNICIPALITYshall further pay GREAT LAKES 10 % interest per month on <br />any payments or charges hereunder that remain unpaid and outstanding for 30 or <br />more days from the invoice date. <br />PATIENT CONFIDENTIALITY AND RELEASE OF INFORMATION <br />15. GREAT LAKES shall hold Information transmitted to it by the <br />MUNICIPALITY confidential, and shall take all reasonable steps to preserve the <br />confidentiality of such Information. Notwithstanding the foregoing, the <br />MUNICIPALITY acknowledges and understands that certain Information must <br />be divulged to insurance carriers, health care providers, governmental entities, or <br />legal entities (providing all state and federal guidelines are followed for release of <br />medical information), provided GREAT LAKES takes reasonable steps to obtain <br />a release as necessary in the ordinary course of business in relation to the provision <br />of such Information, the MUNICIPALITY shall indemnify and hold GREAT <br />LAKES harmless from and against any and all claims, liabilities, damages and <br />expenses, including reasonabie attorney's fees, arising out of or resulting from <br />GREAT LAKES provision or disclosure of patient Information. <br />GENERAL PROVISIONS <br />15. Term and Termination. This Agreement shall commence as of the date of <br />this Agreement and continue until terminated by mutual agreement of by <br />either party giving the other party 60 days written notice. <br />5 <br />
