23. Entire Agreement. This Agreement constitutes the entire agreement and <br />understanding between the parties with respect to the subject matter hereof <br />and supersedes any previous agreement or understanding, whether oral or <br />otherwise. No modification of this Agreement shall be valid unless in <br />writing and signed by each of the parties hereto. <br />24. Counterpazts. This Agreement may be executed in several counterparts, <br />each of which shall be an original, but all of which shall constitute one and <br />the same instrument. <br />25. Governing Law. This Agreement shall be subject to and governed <br />according to the laws of the State of Ohio, irrespective of the fact that <br />either party is or may become a resident of a different state. <br />26. Authority. The undersigned representative of the MUNICIPALITY hereby <br />represents and warrants that he/she is the duly authorized officer or agent of the <br />MiTNICIPALITY, that the MUNICIPALITY has approved and ratified this <br />Agreement by Ordinance ;Zevo -_W, and that this Agreement constitutes a valid <br />and binding contract and agreement properly undertaken and binding upon the <br />MIJNICIPALITY. <br />27. Limitation of Liability:. MUNICIPALITY agrees to maintain copies or <br />originals of all patient information supplied to GREAT LAKES so that at no time <br />will billing center possess data that is not simultaneously maintained at providers <br />own office. <br />GREAT LAKES agrees to use its best efforts to maintain a high professional <br />standard in the execution of its services so as to minimize the possibility of any <br />damage or loss of provider-related data stored in the GREAT LAKES computer <br />system. To this end, GREAT LAKES agrees to regularly back up all provider- <br />related data files and to maintain one weekly back up offsite. GREAT LAKES has <br />no liability to MIJNICIPALITY if data or records are destroyed by fire, <br />strike, theft, Acts of God or any other cause, including computer malfunction. <br />MUNICIPALITY agrees that all information supplied to GREAT LAKES is <br />true and accurate to the best of MUNiCIPALITY'S knowledge. <br />MUNICIPALITY further agrees to hold GREAT LAKE5 harmless from any <br />liability resulting from violations of state or federal regulations by <br />MUNICIPALITY relating to the collection of the MUNICIPALITY'S insurance <br />7 <br />
