re 7:? <br />Section 5. T'he law firm of Squire, Sanders & Dempsey L.L.P. is hereby retained as <br />bond counsel and special counsel to the Issuer in connection with the issuance of the Bonds. The <br />legal services to be provided by that firm shall be in the nature of legal advice and <br />recommendations as to the documents and the proceedings and rendering at delivery a related legal <br />opinion including an opinion relating to the treatment of interest for federal income tax purposes. <br />In providing those legal services, as an independent contractor and in an attorney-client <br />relationship, that firm shall not exercise any admimstrative discretion in the formulation of public <br />policy, expenditure of public funds, enforcement of laws, rules and regulations of the State or any <br />political subdivision, or the execution of public trusts. The fees and expenses of Squire, Sanders & <br />Dempsey L.L.P. shall be the sole responsibility of and be paid by the Borrower pursuant to the <br />Agreement between the Issuer and the Borrower heretofore approved. <br />Section 6. The Issuer does hereby designate and appoint as its <br />Prevailing Wage Coordinator for the Project pursuant to the requirements of Section 4115.032, <br />Ohio Revised Code, to perform the duties therein specified. <br />Section 7. This Council finds and determines that all formal actions of this Council <br />and of any of its committees concerning and relating to the passage of this ordinance were taken, <br />and that all deliberations of this Council and of any committees that resulted in those formal actions <br />were held, in meetings open to the public in compliance with the law. <br />Section 8. This ordinance is hereby declared to be an emergency measure necessary <br />for the immediate preservation of the City's public peace, health, safety and welfare, and for the <br />further reason that this ordinance must be immediately effective in order to proceed promptly with <br />the issuance and sale of the aforesaid Bonds in order to create and preserve jobs and advance and <br />promote economic development within the boundaries of the Issuer; wherefore this ordinance shall <br />be in full force and effect immediately upon its passage and approval by the Mayor. <br />Passed: , 1999 <br />Attest: <br />Clerk of Council <br />Approved: )1999 <br />President of Council <br />, f : <br />??J??"?.
