CONTRACT AGREIIME[VT CONTftACT #96-27 SFI WASTE SYSTDE ? ' TIIS AGREII?NT made and entered into this ?1 day of December, 1996, by and between the CITY OF NORTEI OLMSTID, 5200 Dove`r??enter Road, County of Cuyahoga and State of Ohio, hereinsfter called "OWNER°", and the Bitt?i-IdG?-F?3 Ai9ii?TRR'r OF OHIO, INC., 8515 Butternut Ridge Road, Elyria, Ohio, 44035, called "CONTRACTOR", or BFI. WITNESSEIIi: WFIERFAS, the City of North Olmsted in accordance with the laws of the 5tate' of Ohio and by the suthorization of its legislative body, the Council of the City of North Olmsted, opened public bids on November 27, 1996, for SOLID WASTE COLLECTIaN AND DISPOSAL, APID RECYCLABLEB COLLECTIbN, to coimnence on or about January 1, 1997 to December 31, 1999, and; WHEREAS, BFI was detexmined to be the lowest and best bidder for the three-year contract period all in accordance with the published specifications prepared by the City of North Olmsted, and; WHEREAS, the Board of Control of the City of North Olmsted met on December 13, 1996, as authorized by the Charter of the City of North Olmsted and upon the recomnendation of the Director of Public Service, awarded the contract to BFI. NOW, THEREFORE, in consideration of the foregoing recital and the covenants ind agreements of the parties herein set forth, the parties do agree as follows: SECTION I - TIME PERIOD A. The terms of this Agreement shall be January 1, 1997 to and including December 31, 1999. B. BFI shall commence operation in the City on January 1, 1997. SECTION II - DOCUMENTS INCORPORATID BY REFFRINCE A. The specifications for Solid Waste Collection and Disposal, and Recyclables Materials, the bid submitted by BFI, Ordinance #96-164 of City Council, are hereby incorporated by reference and made part of this agreement and are hereinafter referred to collectively as Attachment "A". B. It is the purpose of this formal docwnent designated "Contract Agreelnent" to recite all the terms and conditions the parties have agreed to which may not have been included in Attachment "A". This Contract Agreement shall state in detail the terms and conditions agreed to by the parties. SECTION III - QUALITY.OF SERVICE A. BFI promises in accordance with Attachment "A" to provide the quality of curbside refuse pick up satisfactory to the City which will be characterized by a high degree of regularity and on-time performance by the drivers and helpers, coogeration by all BFI employees with the Service Disector and City iesidents, timely, response to schedules and sufficient lead time shauld routes be changed. Prompt and equitable disposition of all day-to-day problems and complaints vizich arise in all refuse pick-up operations. l./ ?. . ,.?. ? ;.. ? _
