B. Medical Mutual of Ohio may cancel this-Contract upon giving thirty (30) days <br />written notice to the Plan Sponsor for the following reasons: <br />1. for a material misrepresentation by the Plan Sponsor which affects the <br />insurability of the risk; <br />2. for material failure on the part of the Plan Sponsor to comply with the <br />Contract terms, provisions or contractual duties; <br />C. Medical Mutual of Ohio may cancel this Contract at any time without notice if <br />the Plan Sponsor fails to pay the required Stop Loss premiums. Medical <br />Mutual of Ohio's negotiation of any check sent or deposited into Medical <br />Mutual of Ohio's lockbox after the termination date does not constitute <br />acceptance or reinstatement by Medical Mutual of Ohio. <br />D. Medicat Mutual of Ohio may also rescind or cancel this Contract as of its <br />Effective Date or Renewal Date if it is discovered that the coverage provided <br />hereunder was obtained through fraudulent statements, omissions, or <br />concealment of facts material to the acceptance of the risk or to the hazard <br />assumed by Medical Mutual of Ohio. <br />8. CONTRACT TERMINATION <br />A. This Contract will terminate and all coverage provided by this Contract will <br />cease on the earliest of the following dates: <br />1. the end of the Contract Period; <br />2. the date the Plan terminates, the date the Plan changes or the services of <br />the Claims Administrator are terminated, except as provided for by this <br />Contract or any Amendments hereto; <br />3. the first date of any month specified by the Plan Sponsor, following thirty <br />(30) days written notice to Medical Mutual of Ohio; <br />4. the cancellation date under the terms of the Cancellation provision. <br />B. This Contract will automatically terminate in the event: <br />1. the Plan Sponsor files a petition for bankruptcy or for voluntary <br />reorganization for the benefit of creditors, or is the subject of an <br />involuntary petition for bankruptcy. The Contract will terminate on the date <br />the petition is filed or when any other insolvency proceeding is formally <br />initiated; <br />2. the Plan Sponsor does not properly pay claims or fund claims on a timely <br />basis. <br />CCX0202 Page 6 090102 <br />03 eCityofNorth OlmstedSL <br />
