The Council shall meet within sixty (60) days after <br />the execution of this Agreement by at least two (2) parties <br />at a time and place to be designated by the President of the <br />Cuyahoga County Mayors and City Managers Association, who shall <br />also act as temporary chairman at such first meeting. The <br />first order of business shall be the election of a President, <br />Secretary and Treasurer and such other officers as the Council <br />may desire. All officers shall hold office for a term of~one (1) <br />year or until a successor is elected and qualified. Officers shall <br />serve without compensation. The Council shall have the authority <br />to adopt its own rules and by-laws to govern its proceedings. <br />IV. MUNICIPAL TAX COLLECTION AGENCY. The Council shall establish a <br />"Municipal Tax Collection Agency" for the collection of municipal income tax <br />revenues on behalf of the member municipalities. <br />A. The Agency hereby established shall be administered <br />by a Board of Trustees composed of nine (9) persons. The term <br />of office of the Trustees shall be two (2) years from the date <br />of appointment. A majority of the Trustees shall constitute a <br />quorum and affirmative actin may be taken only by a majority <br />of all the members appointed to the Board of Trustees. The <br />Trustees shall select annually one of its members to serve as <br />Chairman and one to serve as Secretary. <br />B. The members of the Board of Trustees shall be elected <br />in the following manner. Each appointed member of the Council <br />of Governments may nominate an individual to serve on the Board. <br />The nominees will then be voted on by the Council with each repre- <br />sentative having as many votes as there are vacancies on the Board. <br />The number of nominees receiving the highest votes corresponding <br />to the number of vacancies on the Board shall be deemed to have <br />been elected to the Board by the Council, provided, however, that <br />they receive at least thirty (30%) per cent of the votes of those <br />present and voting. If any one or more of the members so-elected <br />does not receive thirty (30%) per cent, his election shall be <br />void and a run-off election shall be held. <br />- 2 - <br />
