That for such legal services, reasonable <br />fees shall be paid said firm and in addition to such fees, <br />said firm shall be reimbursed for actual out-of-pocket <br />expenses (including, but not limited to, long-distance <br />telephone, travel, duplicating expenses and the like) in- <br />curred in rendering such services. Such fees and expenses <br />shall be paid solely from the proceeds of the sale of the <br />Bonds, by the original purchaser bf the Bonds as part of the <br />purchase price therefor, or by the Company and if the Bonas <br />are for any reason not delivered, shall be paid by the <br />Company pursuant to the agreement by the Company to indem- <br />nify the Issuer against any and a1Z loss, cost, expense, <br />claims or actions arising out of ar connected with the <br />issuance or sale of the Bonds. <br />SECTION 3. It is found and determined that all formal <br />actions of this Council concerning and relating to the <br />adoption of this Ordinance were adopted in an open meeting <br />of this Council, and that all deliberations of this Council <br />and of any of its committees that resulted in such formal <br />action, were in meetings open to the public, in compliance <br />with all legal requirements, including Section 121.22, <br />Revised Code. <br />SECTION 4. This Ordinance is hereby d-etermined to be <br />an emergency measure immediately necessary for the preserva- <br />tion of the public peace, health, safety and welfare and for <br />the further reason that the immediate construction of the <br />Project is urgently required to reduce the burdens on the <br />City resulting from the lack of job opportunities, and <br />further provided it receives the affirmative vote of two- <br />thirds of all members elected to Council, it shall take <br />effect and be in force immediately upon its passage and <br />approval by.the Mayor. ..
