.V <br />? <br />receipts and (e) to enact this Note Legislation and enter into the <br />Agreement and Assignment hereinafter dentified, upon the terms and <br />conditions provided therein; <br />NOW, THEREFORE, BE IT ORDAINED by the Council of the cicy of North <br />Olmsted, County of Cuyahoga and State of Ohio: <br />Section 1. Definitions. In addition to the words and terms <br />elsewhere defined in this Note Legislatton or in the Agreement, the <br />following words and terms as used in this Note Legislation and in the <br />Note Documents authorized herein shall have the following meanings <br />unless the context or use clearly indicates another or different meaning <br />or intent: <br />"Act" means Chapter 165 of the Ohio Revised Code, as enacted and <br />amended pursuant to Section 13 of Article VIII of the Ohio Constitu- <br />tion. <br />"Additional Notes" means notes issued pursuant to Section 9 of <br />this Note Legislation. <br />"Agreement" means the Loan Agreement provided for in Section 11 <br />hereof between the Issuer and the Owner, as the same may be amended in <br />accordance with the provisions thereof. <br />"Alternate Interest Index" means the average five year coupon rate <br />of at least five new general obligation state and/or municipal bond <br />issues rated AAA or AA or their equivalents by either Moody's Investor's <br />Service, Inc. or Standard & Poor's Corporation issued within the preced- <br />ing five business days to a combination of at least three recognized <br />dealers in government securities (including U.S. Government, state and <br />municipal securities), as determined by the Holder; provided, that to <br />2
