any time by giving five (5) days' written notice of such resignation to <br />the Owner at its Notice Address (as defined in the Agreement) and there- <br />upon the Mortgagee's duty as transfer agent and/or registrar shall <br />cease. The Mortgagee may be removed as transfer agent or as registrar <br />at any time by resolution of the Owner. The Mortgagee shall be furn- <br />ished with a certified copy of such resolution. <br />The person in whose name a Note shall be registered shall be <br />deemed and regarded as the absolute owner thereof for all purposes, and <br />payment of or on account of the principal of and premium, if any, and <br />interest on any such Note shall be made only to or upon the order of the <br />registered holder thereof or his duly authorized attorney in such form <br />as shall be satisfactory to the Mortgagee, and neither the Issuer nor <br />the Mortgagee shall be affected by any notice to the contrary, but such <br />registration may be changed as hereinabove provided. All such payments <br />shall be valid and effectual to satisfy and discharge the liability upon <br />such Note, including the interest thereon, to the extent of the sum or <br />sums so paid. <br />The Mortgagee shall be protected in acting upon any notice, re- <br />quest, consent, certificate, order, affidavit, letter, telegram or other <br />paper or document believed by it to be genuine and correct and to have <br />been signed or sent by the proper person or persons. Any action taken <br />by the Mortgagee pursuant to this Note Legislation or the Note Documents <br />upon the request or authority or consent of any person, who at the time <br />of making such request or giving such authority or consent is the holder <br />of any Note, shall be conclusive and binding upon all future holders of <br />the same Note or Notes issued in exchange therefor or in place thereof. <br />22
