any time by giving five (5) days' written notice of such resignation to the Owner at its Notice Address (as defined in the Agreement) and there- upon the Mortgagee's duty as transfer agent and/or registrar shall cease. The Mortgagee may be removed as transfer agent or as registrar at any time by resolution of the Owner. The Mortgagee shall be furn- ished with a certified copy of such resolution. The person in whose name a Note shall be registered shall be deemed and regarded as the absolute owner thereof for all purposes, and payment of or on account of the principal of and premium, if any, and interest on any such Note shall be made only to or upon the order of the registered holder thereof or his duly authorized attorney in such form as shall be satisfactory to the Mortgagee, and neither the Issuer nor the Mortgagee shall be affected by any notice to the contrary, but such registration may be changed as hereinabove provided. All such payments shall be valid and effectual to satisfy and discharge the liability upon such Note, including the interest thereon, to the extent of the sum or sums so paid. The Mortgagee shall be protected in acting upon any notice, re- quest, consent, certificate, order, affidavit, letter, telegram or other paper or document believed by it to be genuine and correct and to have been signed or sent by the proper person or persons. Any action taken by the Mortgagee pursuant to this Note Legislation or the Note Documents upon the request or authority or consent of any person, who at the time of making such request or giving such authority or consent is the holder of any Note, shall be conclusive and binding upon all future holders of the same Note or Notes issued in exchange therefor or in place thereof. 22
