part of the purchase price therefor, or by the Borrower, and if the Bonds are for any reason not delivered, shall be paid by the said Borrower pursuant to the agreement by it to indemnify the City against any and all loss, cost, expense, claims or actions arising out of or connected with the issuance or sale of the Bonds. Section 3. That it is found and determined that all formal actions of this Council concerning and relating to the passage of this Ordinance vaere adopted in an open meeting of this Council, and that all delibera- tions of this Council and of any of its committees that resulted in such formal action, we re in meetings open to the public, in compliance with all applicable legal requirements, including Section 121.22 of the Ohio Revised Code. Section 4. That this Ordinance is hereby declared to be an emergency measure, the immediate passage of which is necessary for the preservation of the public peace, health and safety of the City and for the further _ reason that the immediate retention of said law firm is necessary to promptly proceed with the sale of the Bonds in orde r that the job opportunities to be derived from the Proje ct be available to the reside nts of the City at the earliest possible time; wherefore, this Ordinance shall take effect and be in full force from and after its passage and approval by the Mayor.
