..? <br />AGREEMENT <br />THIS AGREEMENT is entered into as of the day <br />of , 1985, between the City of North Olmsted, Ohio, a <br />municipal corporation organized and existing under the <br />Constitution and the laws of the State of Ohio (the "City"), <br />and Carriage Carpet Company, an Ohio corporation (the <br />"Borrower"), under the following circumstances: <br />A. The Borrower desires to construct, install and <br />equip a commercial facility for retail carpet sales to be <br />located at within the boundaries of the <br />City (the "Project"). <br />B. The Borrower has evidenced a desire to have the <br />costs of the Project financed with the proceeds of industrial <br />development revenue bonds (the "Bonds") issued by the City <br />pursuant to the authority of Article VIII, Section 13, of the <br />Constitution of the State of Ohio and Chapter 165 of the Ohio <br />Revised Code, in a principal amount of approximately $430,000. <br />C. The parties anticipate that the Project would <br />preserve jobs within the City and provide additional jobs and <br />employment opportunities for residents of the City, and that <br />the Project would improve the industrial welfare of the City <br />and its people. <br />D. In order to obtain for the residents of the City <br />the benefit of the jobs, employment opportunities and economic <br />improvement which the construction, installation and equipping
