CITY OF NORTH OLMSTED RESOLUTION Nq. 86 -89 BY: MAYOR PETRIGAC A RESOLUTION AUTHORIZING WEST SHORE CABLE TV TO SELL THEIR ASSETS TO A SUBSIDIARY OF CABLEVISION SYSTEMS CORPORATION, AS AMENDED. WHEREAS, West Shore Cable TV, an Ohio Limited Partnership, has, after consulting with its members, decided that it is in their best interest to sell the assets of West Shore Cable TV to a subsidiary of Cablevision Systems Corporation; and WHEREAS, this Council has been advised by West Shore Cable TV that one of the main reasons for the sale is that Cablevision Systems Corpor- ation is a national corporation that is able to spread the cost of programming on a nationwide basis. Thus, in the area of programming, the savings cost can be beneficial to the viewers in the North Olmsted franchise area; and WHEREAS, after investigation by the Administration and Council, it is the belief of both that the transfer of assets ta a national corporation will not be detrimental to the cable system, and, as a matter of fact, should be advantageous in a number of areas. NOW, THEREFORE, BE IT RESOLVED BY THE CITY OF NORTH OLMSTED, COUNTY OF CUYAHOGA AND STATE OF OHIO: SECTION 1: That this Council, consistent with the approval requirements contained in the agreement granting a franchise to West Shore Cable TV, does hereby approve the sale of its assets to a subsidiary of Cablevision Systems Corporation. SECTION 2: That the Mayor be and she is hereby authorized and directed to execute any and all documents consistent with the approval provided in Section 1 hereof.
