In the event that AJF becomes legally compelled, by applicable law, regulation or legal <br />process, to disclose any of the confidential information, AJF shall provide prompt oral and <br />written notice to Client directed to the signatory hereof so that Client may seek a protective order <br />or other appropriate remedy and/or waive compliance with the provisions of this Agreement. If <br />AJF is legally required to disclose the confidential information despite Client's attempts to obtain <br />a protective order or other remedy, then AJF may disclose the confidential information to such <br />tribunal without liability hereunder. <br />AJF acknowledges that records kept or created by AJF may be public records as defined <br />by R.C. § 149.43. AJF agrees to retain records, public or otherwise, created or accumulated by <br />him in the performance of his duties under this Agreement. The determination of whether a <br />record is a "public record" shall be made by Client only. All "public records" shall be <br />surrendered to Client upon request or at the termination of this Agreement. <br />7. Assignment and Amendment. <br />This Agreement is personal to the parties hereto and neither party will (by operation of <br />law or otherwise) transfer or assign its rights or delegate its performance hereunder, unless <br />otherwise agreed to by the parties in writing and any attempt by either party to assign its rights <br />pursuant to this Agreement shall be null and void. No modifications or amendments to this <br />Agreement will be valid unless in writing and signed by each of the parties hereto. <br />8. Miscellaneous. <br />This Agreement sets forth the entire understanding of the parties and supersedes any and <br />all prior agreements, arrangements and understandings, oral or written, of any nature whatsoever <br />between the parties regarding the subject matter hereof. The waiver of any breach of any term of <br />this Agreement does not waive any subsequent breach of that or any other term of this <br />Agreement. <br />9.
