In the event that AJF becomes legally compelled, by applicable law, regulation or legal process, to disclose any of the confidential information, AJF shall provide prompt oral and written notice to Client directed to the signatory hereof so that Client may seek a protective order or other appropriate remedy and/or waive compliance with the provisions of this Agreement. If AJF is legally required to disclose the confidential information despite Client's attempts to obtain a protective order or other remedy, then AJF may disclose the confidential information to such tribunal without liability hereunder. AJF acknowledges that records kept or created by AJF may be public records as defined by R.C. § 149.43. AJF agrees to retain records, public or otherwise, created or accumulated by him in the performance of his duties under this Agreement. The determination of whether a record is a "public record" shall be made by Client only. All "public records" shall be surrendered to Client upon request or at the termination of this Agreement. 7. Assignment and Amendment. This Agreement is personal to the parties hereto and neither party will (by operation of law or otherwise) transfer or assign its rights or delegate its performance hereunder, unless otherwise agreed to by the parties in writing and any attempt by either party to assign its rights pursuant to this Agreement shall be null and void. No modifications or amendments to this Agreement will be valid unless in writing and signed by each of the parties hereto. 8. Miscellaneous. This Agreement sets forth the entire understanding of the parties and supersedes any and all prior agreements, arrangements and understandings, oral or written, of any nature whatsoever between the parties regarding the subject matter hereof. The waiver of any breach of any term of this Agreement does not waive any subsequent breach of that or any other term of this Agreement. 9. Governing Law. The validity, interpretation, construction and performance of this Agreement shall be in accordance with the laws of the State of Ohio.
