The Purchaser's obligation to consummate the closing under this Agreement shall be <br />conditioned upon the satisfaction in all xespects of each and ail of the following on or before the <br />Closing Date: <br />a. All dacnments and other items required #o be delivered by Seller to Purchaser <br />at the Ciosing as provided by the Agreement shall have been delivered in form and substance <br />reasonably satisfactory to Purchaser; <br />b. Seller sha11 have complied with, fulfilled, and pexformed each of the covenants, <br />terms, and condition.s to be complied with, fulfilled or perfarmed by Seller under this <br />Agreement; <br />c. AlI of the representations and warranties made bq Seller in this Agreement shall <br />be true in aIl material respects as of the Closing Date; and, <br />Closing Date. <br />d. Seller shall have caused aIl tenants to vacate the Premises on or before the <br />5. REVIEW PERIOD <br />Purchaser shall not and this Agreement sha11 not be subject to any review period <br />subsequent to the date of finai execntion of this Agreement to inspect the Premises or to ascertain <br />that the condition of title, zoning, and the physical and envirorunental condition of the Premises <br />(including but not limited to sewage and drainage systems, soils, utilities, any underground <br />storage tanks and piping, environmental assessment and testing, title exanunation(s), traffic <br />patterns, a review of alI zoning ordinances and regulations, local ordinan:ces, use restrictions and <br />other governmental conirols and regulations, a review of the survey of the Premises, if any, and <br />all other matters for which Puxchaser deems necessary) are acceptable to Purchaser. The <br />Purchaser hereby waivers any such review and accepts the prernises "as is". <br />SURVEY OF PREMISES. <br />Purchaser may at its sole cost and expense obtain a survey of the Premises. <br />7. TITLE INSURANCE. <br />Within ten (10) days of the date of this Agreement, the Purchaser '"rill order a title <br />insurance report and commitment for an owners' title insurance policy foz the Premises and, <br />within seven (7) days after receipt of the report and conomitment, will furnish a copy to the <br />Seller. The Seller will immediately undertake, with due d.iligence, to elirninate those exceptions <br />which the Purchaser is nat required to accept under the texms of this Agreement. If the Seller is <br />unable to eliminate the exceptions and to convey good, marketable and insurable title in <br />accorda.nce with the terms of this Agreement on the Closing Date, the Seller will notify the <br />Purchaser af this and the Purchaser may thereafter: <br />2
