a <br />WHEREAS, a two year contract with Richard L. Bowen & Associates, Inc. was <br />approved on the day of December 2010, via Ordinance No. 2010- ; and <br />WHEREAS, given the longstanding relationship with Richard L. Bowen & <br />Associates, Inc. and the fact that it has provided professional services of a continuing <br />nature to the residents of the City, including services related to ongoing improvements to <br />the collection system and Waste Water Treatment Plant, this Council finds that the <br />exception to the RFP process identified in North Olmsted Codified Ordinance § 112.10(b) <br />applies; and <br />WHEREAS, it is the desire of this Council to enter into a contract with Richard L. <br />Bowen & Associates, Inc. for an additional three (3) years. <br />NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY <br />OF NORTH OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO: <br />SECTION 1: That given the continuing nature of the professional service to the <br />residents of the City, this Council does hereby dispense with the formal RFP process set <br />forth in North Olmsted Codified Ordinance § 112.10. <br />SECTION 2: The Mayor be and he hereby is authorized to enter into a contract <br />with Richard L. Bowen & Associates, Inc., extending the current contract with each for <br />an additional period of time not to December 31, 2015. <br />SECTION 3: That the said contract providing for the contract referred to in <br />Section 1 above shall be in form and substance consistent with the current contract <br />between the City and Richard L. Bowen & Associates, Inc., attached to this Ordinance as <br />"Exhibit A," with only such changes therein as are not substantially adverse to the City <br />and which are approved by the Director of Law. The character of any such changes as not <br />being substantially adverse to the City shall be evidenced conclusively by the execution <br />of the agreement by the Mayor and the approval of the agreement by the Director of Law. <br />SECTION 4: That this Resolution is hereby declared to be an emergency <br />measure immediatoly necessary for the preservation of the public peace, health, safety <br />and welfare, of this City and for the further reason that this Resolution is required to be <br />immediately effective because of vital City construction projects underway that require <br />continuity of engineering services by the current City Engineer; and further provided it <br />receives the affirmative vote of two-thirds of all members of Council, it shall take effect <br />and be in force immediately upon its passage and approval by the Mayor. <br />PASSED: (?-- <br />First Reading: ?t.? l -ff <br />Second Reading: ?- 4fin ? <br />Third Reading: ? <br />Committee: <br />2
