THIS AGREEMENT, effective as of the day of September, 2013, between the City of North <br />Olmsted, a municipality organized and existing as a political subdivision of the State of Ohio ("Owner"), by <br />authority of Resolution No. 2013- adopted by the Council and Mayor Kevin M. Kennedy of the City of North <br />Olmsted on the day of September, 2013 and Dover Home Remodelers, Inc., with its principle place of business <br />located at 29341 Lorain Road, North Olmsted, OH 44070 ("Contractor"). <br />WHEREAS, pursuant to Resolution No. 2013 - authorized the Mayor to enter into an Agrement to <br />provide construction and repair services to the City of North Olmsted for the North Olmsted Senior Center following <br />roof leakage and interior water damage; and <br />WHEREAS, Owner received Proposals including Scope of Work and Price Sheet from Contractor on an <br />emergency basis pursuant to Charter provisions to exempt such public works from competitive bidding; and <br />NOW, THEREFORE, the Owner and Contractor agree as set forth below and as further provided in the <br />Exhibits to this Agreement between Owner and Contractor, which are attached and incorporated by reference: <br />ARTICLE 1: <br />BASIC SERVICES AND TIME FOR CONTRACTOR'S SERVICES <br />1.1 The Services required to be performed by the Contractor under this Agreement shall be the Basic Services <br />for the Project. The scope and details are described in Exhibit I, Contractor Proposal dated August 21, <br />2013 ("Basic Services") attached hereto. No additional services are expected to be required for the Project. <br />However, should additional services become necessary, any such additional required services will be <br />separate from those set forth in Exhibit I and will be undertaken only upon the prior written authorization <br />and agreement by the Owner and the Contractor, subject to the laws of the City of North Olmsted and State <br />of Ohio. <br />1.2 The Contractor shall perform the Basic Services within (_-) days following date of <br />commencement specified by Owner, unless an extension of Time is granted by Owner, in accordance with <br />Exhibit II Time Scheduel for Project: See Exhibit II, Time Schedule, attached hereto and incorporated <br />herein as though fully rewritten. <br />ARTICLE 2 <br />OWNER'S RESPONSIBILITIES <br />2.1 The Owner shall do the following: <br />21.1 Designate an Owner Representative having authority to give Contractor instructions, receive <br />information, define the Owner's policies and make decisions with respect to the project; <br />2.1.2 Provide all criteria and information reasonably required by Contractor regarding the Owner's <br />requirements for the Project; <br />21.3 Furnish to Contractor, as needed, copies of all design and construction standards, which the Owner <br />requires for the Project; <br />2.1.4 Provide to Contractor all available data and information in the possession of the Owner, as <br />requested by Contractor, relevant to the design and construction of the Project; <br />ARTICLE 3 <br />COMPENSATION FOR BASIC SERVICES; AMOUNT AND METHOD OF PAYMENT; OPTIONAL <br />SERVICE PAYMENT. <br />3.1 The Contractor's fee for performing Basic Services for the Project shall not exceed the maximum fee of <br />ONE HUNDRED THOUSAND, FIVE HUNDRED AND TEN DOLLARS AND FORTY-THREE CENTS
