? ow^? <br />Addendum to Contract <br />The following additional terms and conditions apply to the Community Video, <br />Banner Branding, & Business Showcase Agreement between the City of North Olmsted, <br />Ohio ["City"], and CGI Communications, Inc. ["CGI"], dated , 2006. <br />Right to Refuse Advertising <br />CGI accepts advertising from commercial for-profit businesses only. CGI does not <br />accept advertising from businesses that produce or provide alcohol, tobacco, or <br />pornographic products or services. CGI shall have complete discretion to define such <br />businesses. In addition, CGI may refuse advertising from any other business that it deems <br />to be inappropriate for any reason. CGI reserves the right to refuse the advertising <br />application of any particular business sponsor that it deems to be inappropriate. <br />Indemniflcation <br />CGI hereby agrees to indemnify and hold the City, and its officials and employees, <br />harmless from and against any and all losses, damages, settlements, costs, charges, or other <br />expenses or liabilities of every kind and character arising out of or relating to any and all <br />claims, liens, demands, obligations, actions, proceedings, or causes of action of every kind <br />and character arising out of the acts, omissions and/or negligence of CGI, and its officers, <br />employees, contractors, agents or others acting in concert with CGI, relating in any way to <br />the Community Video, Banner Branding, & Business Showcase Agreement between the <br />City and CGI. CGI shall maintain liability insurance in an amount of no less than one <br />million dollars ($1,000,000) to fund this indemnification obligation. <br />The City of North Olmsted: <br />Thomas E.
