'"` +, r. ~ ' 13 INDEMNIFICATION. 13.1 The Seller shall at all times indemnify the City and save the City har*n1Pss against all liabilities of the Seller, other than those liabilities or obligations assumed by the City hereunder. 13.2 The City shall at all times indemnify the Seller and save the Seller harmless against all liabilities of the City. 14 NOTICES. Any notice, request, instrument or other document to be given by either of the parties to the other shall be in writing, delivered personally, or sent by registered mail, postage prepaid, if to the Seller to: Rose Scheeff 6001 Pebblebrook Lane North Olmsted, Ohio 44070 and if to the City to: City of North Olmsted 5200 Dover Center Road North Olmsted, Ohio 44070 Attention: Mayor 15 BROKERS. The City represents that the City has not dealt with any real estate broker in connection with the transaction contemplated by this Agreement. Seller shall be responsible for paying any real estate commission due by reason of any arrangement which Seller may have made with a real estate broker or otherwise not involving a breach of the City's representation in the preceding sentence. 16 SURVIVAL. Notwithstanding any investigation made by the City or Seller, as the case may be, except for the representations and warranties set forth in Section 3(a), (b) and (k), which shall not be limited, the representations, warranties and agreements of the Seller and the City contained herein and in any certificates furnished pursuant hereto shall survive the Closing Date and the delivery of any payment for the Property to be sold and purchased hereunder for a period of one year. 17 ENTIRE AGREEMENT. This Agreement, together with the exhibits attached hereto, constitutes the entire agreement between the parties hereto with respect to the transactions contemplated herein. 18 OHIO LAW. The terms of this Agreement shall be governed by the laws of the State of Ohio. 9
