. ~.. _ .. <br />'"` +, <br />r. ~ ' <br />13 INDEMNIFICATION. <br />13.1 The Seller shall at all times indemnify the City and save the City <br />har*n1Pss against all liabilities of the Seller, other than those liabilities or obligations <br />assumed by the City hereunder. <br />13.2 The City shall at all times indemnify the Seller and save the Seller <br />harmless against all liabilities of the City. <br />14 NOTICES. Any notice, request, instrument or other document to be given <br />by either of the parties to the other shall be in writing, delivered personally, or sent by <br />registered mail, postage prepaid, if to the Seller to: <br />Rose Scheeff <br />6001 Pebblebrook Lane <br />North Olmsted, Ohio 44070 <br />and if to the City to: <br />City of North Olmsted <br />5200 Dover Center Road <br />North Olmsted, Ohio 44070 <br />Attention: Mayor <br />15 BROKERS. The City represents that the City has not dealt with any real <br />estate broker in connection with the transaction contemplated by this Agreement. Seller shall be <br />responsible for paying any real estate commission due by reason of any arrangement which Seller <br />may have made with a real estate broker or otherwise not involving a breach of the City's <br />representation in the preceding sentence. <br />16 SURVIVAL. Notwithstanding any investigation made by the City or <br />Seller, as the case may be, except for the representations and warranties set forth in Section 3(a), <br />(b) and (k), which shall not be limited, the representations, warranties and agreements of the <br />Seller and the City contained herein and in any certificates furnished pursuant hereto shall survive <br />the Closing Date and the delivery of any payment for the Property to be sold and purchased <br />hereunder for a period of one year. <br />17 ENTIRE AGREEMENT. This Agreement, together with the exhibits <br />attached hereto, constitutes the entire agreement between the parties hereto with respect to the <br />transactions contemplated herein. <br />18 OHIO LAW. The terms of this Agreement shall be governed by the laws <br />of the State of Ohio. <br />9 <br />
