THIS AGREEMENT is made and entered into this ,;2? ~ day of <br />~ffii-n2•r 1994, by and between Biddulph, Inc., an Ohio <br />corporation ("Assignor"), and the City of North Olmsted, Ohio, <br />("Assignee"), pursuant to that certain Sale and Purchase Agreement <br />of even date herewith ("Purchase Agreement"), by and between Seller <br />and Buyer. <br />FOR GOOD AND VALUABLE CONSIDERATION, the receipt and <br />sufficiency of which are hereby acknowledged, Assignor does hereby <br />sell, assign, convey, transfer, set over and deliver to Assignee <br />the entire right, title and interest of Assignor in and to the <br />contracts, lease and agreements described on Schedule 1.1(g) <br />attached hereto (the "Assumed Contracts"). <br />Assignee, by its acceptance of this Assignment and <br />Assumption, as evidenced by its execution hereof, hereby assumes <br />and agrees to satisfy the liabilities and obligations of Seller <br />under or pursuant to the Assumed Contracts from and after the date <br />hereof . <br />IN WITNESS WHEREOF, Assignor and Assignee have executed <br />this Assignment and Assumption Agreement as of the date first <br />written above. <br />BIDDULPH, INC. <br />Its : 1i5~~ .c_-~.Z <br />("Assignor") <br />CITY OF NORTH OLMSTED, OHIO <br />By: <br />Its <br />70\23707AMA.345 <br /> <br />
