Q EXHIBIT <br />c? <br />W <br />? <br />a <br />? <br />J <br />` / ? <br />FIRST AMENDMENT TO REVOCABLE LICENSE AGREEMENT <br />THIS FIRST AMENDMENT TO REVOCABLE LICENSE AGREEMENT, made atNorth <br />Olmsted, Ohio, this day of July, 2010, by and between the City of North Olmsted, an Ohio <br />municipal corporation ("City"), and the North Olmsted Community Council, Inc. ("NOCC"); <br />WHEREAS, City Council adopted Resolution 2009 - _, on June 16, 2009, authorizing the <br />Mayor to enter into an Revocable License Agreement with the NOCC that would permit the NOCC <br />to place Homecoming Festival banners on four (4) Cleveland Electric Illuminating (CEI) poles <br />located in the City's right of way on northerly side of Lorain Road and in front of the City Park; and <br />WHEREAS, the NOCC has proposed tof . xpend funds for printing up to six (6) additional <br />Homecoming Festival banners for placement on oles within the City right of way, subject to <br />general licensing and specific placement authorization; dig <br />'?cZ.?'"l`? ,G CC) ?-r? ??' ? <br />WHEREAS, the parties desire to enter this First Amendment and by these presents intend to <br />delineate and determine the rights, obligations, duties and liabilities of each; <br />NOW THEREFORE, in consideration of the foregoing premises and the mutual promises <br />hereinafter set forth, the parties agree as follows: <br />1. The City grants the NOCC a limited revocable license to place sixty (60 inch by 664(_Jt o ? <br />thirty (30) inch, nylon-reinforced with vinyl Homecoming Festival banners o designatec?oles <br />? <br />located in City right-of-way area. The number of banners and designation oC'pole locations shall 71 <br />be documented by such correspondence, maps, and/or additional exhibits as may be necessary and <br />appropriate, in the administration of this Licensing Agreement, as directed by and between NOCC <br />and the Director of Public Safety/Service. Said license shall be effective commencing upon the date <br />of execution of this Agreement by the City and NOCC. <br />2. This Revocable License Agreement shall continue in effect from year to year until <br />such time as the City, for any reason whatsoever, shall terminate the license. In the event of such <br />action, the City shall give the NOCC thirty (30) days advance notice of its decision to terminate the <br />license. <br />3. The parties agree that, while this License is in effect, the City shall be responsible for <br />installing and removing the Homecoming Festival banners on the designated CEI poles in the City's <br />right-of-way, at no cost to the NOCC. The NOCC shall be resp?sible for providing the banners and <br />the necessary hardware for installation of the banners on the C poles, at no cost to the City. <br />Unless otherwise requested by the NOCC, and so long as it is practicable to do so, the City shall <br />iristall such banners during the month of July and shall take the banners down following the <br />Homecaming Festival in August. When the said banners are not installed on the poles in the right- <br />of way, it shall be the responsibility of the NOCC to store and maintain the banners, and then to <br />timely deliver them to the City for the next installation. <br />1
