x CITY OF NORTH OLMSTED RESOLUTION N0.2006 - 3 BY: Mayor O'Grady A RESOLUTION AUTHORIZING THE DIRECTOR OF LAW TO RETAIN OUTSIDE COUNSEL TO ASSIST THE CITY OF NORTH OLMSTED IN MATTERS RELATING TO THE PROPOSED TRANSFER OF CONTROL OF THE CABLE FRANCHISE OF WIDEOPENWEST CLEVELAND, LLC ("WOW CLEVELAND ") FROM WIDEOPENWEST HOLDING, LLC ("WOW HOLDINGS') TO RACECAR ACQUISITION, LLC ("A VISTA CAPITAL PARTNERS"), AND DECLARING AN EMERGENCY. WHEREAS, Article V, Section 2 of the Charter provides that the Director of Law, with the approval of City Council, may retain the services of outside counsel, where necessary and appropriate, to assist in the performance of the duties of office; and WHEREAS, the Director of Law has requested that this Council approve the retention of outside counsel to assist the City in the proposed transfer of control the City's WideOpenWest Cleveland ("WOW Cleveland") cable franchise from WideOpenWest Holdings, LLC ("WOW Holdings") to Racecar Acquisition, LLC ("Avista Capital Partners"); and WHEREAS, the Director of Law has selected the Law Firm of Walter & Haverfield LLP, which is a Cleveland law firm with a national reputation for telecommunications law expertise; and WHEREAS, the City previously utilized the services of said Law Firm in 2001 in the transfer of the City's cable franchise from Ameritech New Media, Inc. to WideOpenWest Ohio LLC, and in 2005 in the transfer of the City's cable franchise from Adelphia Cleveland, LLC to Time Warner NY Cable LLC; and WHEREAS, it is accordingly the desire of this Council to approve the retention of special counsel to assist the City in matters relating to said transfer of control of the said cable franchisee, as recommended by the Director of Law; NOW, THEREFORE, BE IT RESOL VED BY THE COUNCIL OF THE CITY OF NORTH OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO:
