No. 234-27-66 <br />CONTRACT FOR SALE AND PURCHASE <br />This Agreement, entered into on the below date by and <br />between The Board of Education of the North Olmsted City School <br />District .and the City of Narth Olmsted, hereinafter called the <br />Owners, and the State of Ohio, hereinafter called the Purchaser: <br />WITNESSETH: In consideration of the mutual promises, <br />agreements, and covenants herein contained: <br />1. Purchaser promises and agrees to pay to said Owners <br />the total sum of One Hundred, and no/100 Dollars ($100.00) <br />which total sum to be paid the Owners pursuant to this contract <br />shall constitute the entire compensation for the easement to <br />be conveyed; for damages to any residual lands of the Owners and <br />for Owners' covenants herein. It is understood and agreed that <br />the Owners are responsible for all delinquent taxes and assess- <br />ments, if any, including penalties and interest; and all other <br />real estate taxes and assessments which are a lien on the closing <br />date, if any, (the current year's taxes to be pro-rated on an <br />estima~~ed basis to the date of closing or date specified herein for <br />surrender of possession, whichever date is the later); and all <br />further installments of special assessments levied and assessed <br />against said real property that have been certified to th e <br />County Auditor, if any. The Purchaser may withhold in escrow a <br />sufficient amount of the purchase money to satisfy the above <br />items, if any, and the balance remaining after such taxes, as- <br />sessments, etc. are discharged, shall be refunded to Owners. <br />2. Owners agree to sell and convey, upon the fulfillment <br />of all the obligations and terms of this Agreement, to sai d <br />Purchaser, its successors and assigns, the easement described <br />in Exhibit A attached hereto, which Exhibit A is incorporated <br />herein and made a part hereof as if fully rewritten herein, <br />(the "easement") . <br />3. Owners further agree to convey the easement as herein <br />set forth, subject to all zoning restrictions and utility <br />easements of record. <br />4. Owners also agree that they will not change the exist- <br />ing character of the land. In the event any damage, change, <br />alteration, or destruction occurs to said real property resulting <br />from any cause whatsoever, prior to the actual conveyance to <br />the Purchaser, the Owners agree to restore it to the condition <br />it was in at the time of the execution of this Agreement by the <br />Owners, or to accept the purchase price consideration, herein- <br />above stated, less the cost of such restoration. In case the <br />Owners refuse to restore it to the condition it was in at the <br />time of the execution of this Agreement by the Owners, or to <br />12 <br />Exhibit 1 <br />
