as though fully rewritten herein and marked Exhibit "A", and in addition thereto, shall construct the storm water drainage improvement under the special conditions hereinafter set forth: (a) The City of Nort?1 Olmsted shall install rip xap where indicated on the plans; (b) The outlet angle, instal 12 inch corrugated metal pipe sanitary sewer connections to the East Side of Claque Road, Westlake-North Olmsted Border the plans; Iation of two sleeves for four homes on north of the as indicated on (c) The City of Tdorth Olmsted shall install sidewalks on Clauge Road from the North Olmsted Boundary Line to Sperry Creek as indicated an the plans; and (d) That the entire cost of the improvement and the performance of all conditions as set forth above, shall be at the sole expense of the City of North Olmsted without contribution from the City of Westlake. The City of North Olmsted further agrees to secure an insurance policy in the minimum amount of $300,000.00 for bodily injury and $100,000.00 for property damage, and further agrees i to name the City of Westlake as an additional insured. Said polio shall protect the City of Westlake from any claim arising out of I the construction of the storm drainage improvement and shall be in full force and effect during the period of construction. The City of North Olmsted further agrees to save, hold harm- less and indemnify the City of iestlake against any and all claims of any nature whatsoever arising out of the construction of the improvement which is the subject of this Agreement. In the event that a claim is filed against the City of Westlake, the City of North Olmsted agrees to either furnish legal counsel or to reimburse the City of Westlake for any legal expenses that may be incurred as a result of such legal action. -2-
