~~'H~D~T ~,r THIS AGREEMENT, entered into as of the day of 1980, between and among the City of North Olmsted, Cuyahoga County, Ohio, a city organized and existing under the Constitution and laws of the State of Ohio (the "Issuer"), Fogg-North Olmsted, Ltd., an Ohio Limited Partnership (Fogg) and Bryant & Stratton Business Institute, Inc., a corporation for profit organized under the laws of the State of New York and qualified to do business in the State of Ohio (Corporation} for the purpose of creating jobs and employment opportuni- ties and improving the economic welfare of the people of the State of Ohio; WHEREAS, Fogg desires to acquire, construct, improve, install and equip within the boundaries of the Issuer, real and per commercial facility and equipment to be leased to Corporation for the training and education of its career programs, including managerial, technical, related purposes (the "Project") which commercial jobs and employment opportunities within the City the economic welfare of the State of Ohio and the sonal property consisting of a Corporation, far the use by students for various business clerical, secretarial and for facility will provide additional of North Olmsted and increase City of North Olmsted; and WHEREAS, Fogg has evidenced a desire to finance such acquisition, con- struction, improvement, installation and equipment from the proceeds of an In- dustrial Development First Mortgage Revenue Bond issued pursuant to the authority of Article VIII, Section 13, of the Ohio Constitution and Chapter 165 of the Ohio Revised Code; and WHEREAS, the Project will create or preserve jobs and employment opportunities for residents of the Lssuer and improve the economic welfare of the Issuer and its people; and WHEREAS, it is the desire of the Issuer that such added jobs .and employment
