<br />~~'H~D~T ~,r <br />THIS AGREEMENT, entered into as of the day of <br />1980, between and among the City of North Olmsted, Cuyahoga County, Ohio, a city <br />organized and existing under the Constitution and laws of the State of Ohio (the <br />"Issuer"), Fogg-North Olmsted, Ltd., an Ohio Limited Partnership (Fogg) and <br />Bryant & Stratton Business Institute, Inc., a corporation for profit organized <br />under the laws of the State of New York and qualified to do business in the State <br />of Ohio (Corporation} for the purpose of creating jobs and employment opportuni- <br />ties and improving the economic welfare of the people of the State of Ohio; <br />WHEREAS, Fogg desires to acquire, construct, improve, install and equip <br />within the boundaries of the Issuer, real and per <br />commercial facility and equipment to be leased to <br />Corporation for the training and education of its <br />career programs, including managerial, technical, <br />related purposes (the "Project") which commercial <br />jobs and employment opportunities within the City <br />the economic welfare of the State of Ohio and the <br />sonal property consisting of a <br />Corporation, far the use by <br />students for various business <br />clerical, secretarial and for <br />facility will provide additional <br />of North Olmsted and increase <br />City of North Olmsted; and <br />WHEREAS, Fogg has evidenced a desire to finance such acquisition, con- <br />struction, improvement, installation and equipment from the proceeds of an In- <br />dustrial Development First Mortgage Revenue Bond issued pursuant to the authority <br />of Article VIII, Section 13, of the Ohio Constitution and Chapter 165 of the <br />Ohio Revised Code; and <br />WHEREAS, the Project will create or preserve jobs and employment opportunities <br />for residents of the Lssuer and improve the economic welfare of the Issuer and its <br />people; and <br />WHEREAS, it is the desire of the Issuer that such added jobs .and employment <br />
