r r <br /> <br />DRAFT <br />REVOCABLE LICENSE AGREEMENT <br />THIS AGREEMENT, made at North Olmsted, Ohio, this day of , 2009, <br />by and between the City of North Olmsted, an Ohio municipal corporation ("City"), and the Olmsted <br />Historical Society, anon-profit organization ("OHS"); <br />WHEREAS, the OHS has requested the City grant it permission to place Community Event <br />banners on CEI poles located in the right-of--way areas with existing City banner facilities; and <br />WHEREAS, the City has obtained permission from CEI to place the said banners on <br />designated poles located in said right-of--way areas; and <br />WHEREAS, City Council adopted Resolution 2009-_ , on , 2009, authorizing <br />the Mayor to enter into an Agreement with the OHS that would permit the OHS to place Community <br />Event banners on CEI poles located in the City's right of way and further permitting the City to <br />participate in the project; and <br />WHEREAS, the parties desire to and by these presents intend to delineate and determine the <br />rights, obligations, duties and liabilities of each; <br />NOW THEREFORE, in consideration of the foregoing premises and the mutual promises <br />hereinafter set forth, the parties agree as follows: <br />1. The City grants the OHS a limited revocable license to place sixty (60) inch by thirty <br />(30) inch, nylon-reinforced with vinyl Community Event banners on designated CEI poles located in <br />City right-of--way areas. Said license shall be effective commencing upon the date of execution of <br />this Agreement by the City and OHS. <br />2. This Revocable License Agreement shall continue in effect from year to year until <br />such time as the City, for any reason whatsoever, shall terminate the license. In the event of such <br />action, the City shall give the OHS thirty (30) days advance notice of its decision to terminate the <br />license. <br />3. The parties agree that, while this License is in effect, the City shall be responsible for <br />installing and removing the Community Event banners on the designated CEI poles in the City's <br />right-of--way, at no cost to the OHS. The OHS shall be responsible for providing the banners at no <br />cost to the City. Unless otherwise requested by the OHS, and so long as it is practicable to do so, <br />the City shall install such banners during the week before the community event begins and shall take <br />the banners down at the conclusion of the community event. When the said banners are not installed <br />on the poles in the right-of--way, it shall be the responsibility of the OHS to store and maintain the <br />banners, and then to timely deliver them to the City for the next installation. <br />EXHIBIT <br />t~~aDC~I-/OS~ <br />
