~""'~ REVOCABLE LICENSE AGREEMENT THIS AGREEMENT, made at North Olmsted, Ohio, this day of 2009, by and between the City of North Olmsted, an Ohio municipal corporation ("City"), and M 1 Transportation, Inc. dba North Olmsted Motor Mile ("Motor Mile"); WHEREAS, the Motor Mile has requested the City grant it permission to place decorative streetscape barriers on CEI poles located in the right-of--way area of Lorain Road between Stearns Road and Great Northern Boulevard; and WHEREAS, the Motor Mile has obtained permission from CEI to place the said banners on designated poles located in said right-of--way areas; and WHEREAS, City Council adopted Resolution 2009-~ on . ~ ~ 2009. authorizing the Mayor to enter into an Agreement with the Motor Mile tha would permit the Motor Mile to place decorative streetscape banners on CEI poles located in the City's right of way; and WHEREAS, the parties desire to and by these presents intend to delineate and determine the rights, obligations, duties and liabilities of each; NOW THEREFORE, in consideration of the foregoing premises and the mutual promises hereinafter set forth, the parties agree as follows: 1. The City grants the Motor Mile a limited revocable license to place sixty (60) inch by thirty (30) inch, nylon-reinforced with vinyl decorative streetscape banners on designated CEI poles located in City right-of--way areas on Lorain Road. Said license shall be effective commencing upon the date of execution of this Agreement by the City and Motor Mile. 2. This Revocable License Agreement shall continue in effect from year to year until such time as the City, for any reason whatsoever, shall terminate the license. In the event of such action, the City shall give the Motor Mile thirty (30) days advance notice of its decision to terminate the license. 3. The parties agree that, while this License is in effect, the Motor Mile shall be responsible for installing and removing the decorative streetscape bamlers on the designated CEI poles in the City's right-of--way along Lorain Road, at no cost to the City. The Motor Mile shall be responsible for providing the baiulers and the necessary hardware for installation. of the banners on the CEI poles. When the said banners are not installed on the poles in the right-of- way, it shall be the responsibility of the Motor Mile to store and maintain the banners. 4. The Motor Mile represents to the City that it has obtained permission from the Cleveland Electric Illuminating Company ("CEI") to install the banners on designated poles in the right-of--way areas of Lorain Road in North Olmsted, and shall, upon request, provide the City with written evidence of such permission.
