<br />REVOCABLE LICENSE AGREEMENT <br />THIS AGREEMENT, made at North Olmsted, Ohio, this day of , 2009, <br />by and between the City of North Olmsted, an Ohio municipal corporation ("City"), and the North <br />Olmsted Community Council, Inc. ("NOGG"); <br />WHEREAS, the NOCC has requested the City grant it permission to place Homecoming <br />Festival banners on CEI poles located in the right-of--way areas of Lorain and East Park Roads; and <br />WHEREAS, the NOCC has obtained permission from CEI to place the said banners on <br />designated poles located in said right-of--way areas; and <br />WHEREAS, City Council adopted Resolution 2009 - , on June 16, 2009, authorizing the <br />Mayor to enter into an Agreement with the NOCC that would permit the NOCC to place <br />Homecoming Festival banners on CEI poles located in the City's right of way and further permitting <br />the City to participate in the project; and <br />WHEREAS, the parties desire to and by these presents intend to delineate and determine the <br />rights, obligations, duties and liabilities of each; <br />NOW THEREFORE, in consideration of the foregoing premises and the mutual promises <br />hereinafter set forth, the parties agree as follows: <br />1. The City grants the NOCC a limited revocable license to place sixty (60) inch by <br />thirty (30) inch, nylon-reinforced with vinyl Homecoming Festival banners on designated CEI poles <br />located in City right-of--way areas on Lorain and East Park Roads. Said license shall be effective <br />commencing upon the date of execution of this Agreement by the City and NOCC. <br />2. This Revocable License Agreement shall continue in effect from year to year until <br />such time as the City, for any reason whatsoever, shall terminate the license. In the event of such <br />action, the City shall give the NOCC thirty (30) days advance notice of its decision to terminate the <br />license. <br />3. The parties agree that, while this License is in effect, the City shall be responsible for <br />installing and removing the Homecoming Festival banners on the designated CEI poles in the City's <br />right-of--way along Lorain and East Park Roads, at no cost to the NOCC. The NOCC shall be <br />responsible for providing the banners and the necessary hardware for installation of the banners on <br />the CEI poles, at no cost to the City. Unless otherwise requested by the NOCC, and so long as it is <br />practicable to do so, the City shall install such banners during the month of July and shall take the <br />banners down following the Homecoming Festival in August. When the said banners are not <br />installed on the poles in the right-of--way, it shall be the responsibility of the NOCC to store and <br />maintain the banners, and then to timely deliver them to the City for the next installation. <br />4.
