THIS AGREEMENT is made this day of , 2009, at the <br />City of North Olmsted, County of Cuyahoga, State of Ohio, between the City of North <br />Olmsted, a municipal corporation ("the City") and Karrie Skall Tipton, 386 Crossbrook <br />Drive, Berea, Ohio 44017, ("Instructor"). <br />WHEREAS, the Instructor has provided gymnastics instruction for the City at the <br />North Olmsted Recreation Complex pursuant to various contracts since September 1, <br />1999; and <br />WHEREAS, the parties presently desire to renew and extend the contract for an <br />additional two (2) year term, commencing on September 1, 2009, and concluding, unless <br />further renewed, on August 31, 2011. <br />NOW, THEREFORE, the parties have agreed, on the date first written, to the <br />following terms, covenants and conditions set forth below, acknowledging that sufficient <br />consideration exists for said modifications. <br />Section I <br />Nature of and Place of Services <br />Instructor shall administer a program of gymnastics instruction for the City, and <br />shall perform such other duties as are customarily performed by one holding such <br />position in other similar businesses or enterprises as that engaged in by the City, and shall <br />also additionally render such other and unrelated services and duties as may be assigned <br />to Instructor from time to time by the City. <br />Section II <br />Criminal Background Check <br />The Instructor shall comply with and abide by North Olmsted Code Section <br />139.07 with respect to criminal background checks. The City reserves the right to cancel <br />and render this agreement void, ab initio, if in the judgment and the sole discretion of the <br />Director of Community Life Services, the background check requirement is either not <br />met or the Instructor's history, or that of any of her subcontractors or employees, is <br />deemed unacceptable. Instructor hereby acknowledges that the failure of this condition <br />precedent, for any reasons cited hereinabove, shall render the agreement void, withou± <br />recourse or claim by the Instructor. <br />
