t ~- CITY OF NORTH OLMSTED RESOLUTION N0.2009 - 45 BY: Mayor O'Grady A RESOLUTION AUTHORIZING THE MAYOR TO ENTER INTO A RENEWED ONE-YEAR CONTRACT WITH LK HEATING & COOLING INC., WITH A CITY OPTION FOR AN ADDITIONAL ONE YEAR TERM, TO PERFORM MAINTENANCE SERVICES UPON THE HEATING AND COOLING EQUIPMENT AT VARIOUS CITY BUILDINGS, AND DECLARING AN EMERGENCY. WHEREAS, the Director of Public Service has recommended that the City renew its maintenance contract with LK Heating & Cooling for the purpose of providing maintenance services to the heating and cooling equipment at various City buildings, because the service has been good and the prices have remained the same; and WHEREAS, it is the desire of this Council, acting upon the said recommendation, to authorize the Mayor to enter into a renewed one-year contract with LK Heating & Cooling Inc., with a City option for an additional one-year term, to provide said services; NOW, THEREFORE, BE IT RESOL VED BY THE COUNCIL OF THE CITY OF NORTH OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO: SECTION 1: That the Mayor be and he hereby is authorized enter into a renewed one-year agreement with LK Heating & Cooling Inc., with a City option for a second one-year term at the same prices and upon the same terms and conditions, to provide maintenance upon the heating and cooling equipment in various City facilities, as set forth in the attached nine contracts (marked Exhibits A through I), with only sucl_ changes to said contracts to be hereinafter made as are not substantially adverse to the City and which are approved by the Director of Law. The character of any such changes as not being substantially adverse to the City shall be evidenced conclusively by the execution of the agreements by the Mayor and the approval of the agreements by the Director of Law. SECTION 2: That this Resolution is hereby declared to be an emergency measure immediately necessary for the preservation of the public health, safety and welfare, and for further the reason that it is necessary that this Resolution go into effect immediately because the current maintenance contracts expire May 17, 2009 and the services are vital to maintaining the City's public buildings, and further provided it receives the affirmative vote of two-thirds of all members of Council, it shall take effect and be in force immediately upon its passage and approval by the Mayor.
