The exercise of such power by <br />Buyer or Seller sha11 nat, however, constitute a waiver by it of any other rights either party may <br />have against the other for breach of this Agreement. The escrow agent sha11 be, and is hereby, <br />irrevocably instructed that upon such failure of conditions and receipt of such notice from the <br />party benefited by such condition to release to such party to refund a11 maneys and instruments <br />deposited in escrow pursuant to this Agreement. <br />Prorations <br />2.06 Real property taxes and assessments, and any of the charges for utilities servicing <br />the Property shall be prorated as of the date of transfer as herein provided in this transaction. <br />Egaenses of Closing <br />2.07 The expenses of closing described in this Article shall be paid in the following <br />manner: <br />(1) Qne-half the cost of securing the Owner's Fee Policy of Title Insurance described in <br />Paragraph 2.02 of this Agreement shall be paid by Seller. <br />(2) The cost of preparing, executing and acknowledging any deeds or o#her instruments <br />required to convey title to Buyer or its nominees in the manner described in this <br />Agreement shall be paid by Seller. <br />(3) The other one-half of the cost of securing the Owner's Fee Policy of Tit1e Insurance <br />described in Paragraph 2.02 of this Agreement shall be paid by Buyer. <br />(4) While it is understood by the parties tha.t this tra.nsaction is exempt fram any <br />conveyance tax, if any tax is imposed on the conveyance of title to the Property to Buyer <br />or its nominee, it shall be paid by Buyer. <br />(5) Any fee charged by the escrow agent sha11 be paid by the parties equally. <br />ARTICLE 3- REPRESENTATIONS AND WARRAN'TIES OF PART'IES <br />Warranties of Seller <br />3
