Auditing and Reporting Procedures <br />3.03 The City reserves the right to conduct random audits of sales receipts and reporting <br />procedures to ensure that Vendor utilizes appropriate bookkeeping and accounting practices, <br />and that compensation payments accurately reflect sales made. Vendor shall report and receipt <br />all sales upon forms which have been approved by the Parks and Recreation Commissioner. <br />ARTICLE FOUR. ADDITIONAL OBLIGATIONS <br />Use of Premises <br />4.01 The Vendor shall use and occupy the City's premises in a safe and lawful manner, shall <br />comply with all laws, ordinances, and rules and regulations in force within the City of North <br />Olmsted, Ohio, and all special rules and regulations relating to the use of the premises, and <br />shall use, or permit the use of, the premises only for the purposes herein provided. <br />4.02 The Vendor shaIl not do any act or suffer any act to be done, during the term of use <br />under this contract, which will in any way mar, deface, injure, or damage any part of the <br />premises; and upon termination of this agreement Vendor shall deliver up to Owner all of the <br />premises in as good condition and repair as the same shall have been at the beginning of said <br />Agreement, ordinary wear and tear excepted. Damages caused to the premises, facilities <br />and/or equipment therein as determined by the Parks and Recreation Commissioner shall be <br />paid in full by the Vendor. <br />Indemnification <br />4.03 Vendor shall indemnify and save the City harmless from any and all damages, loss or <br />liability of any kind whatsoever occasioned upon the premises, or premises adjacent thereto, <br />by reason of any injury to person or property occasioned by any act or omission, neglect or <br />wrong of the Vendor, or any af its officers, representatives, guests, employees, invites, or <br />other persons acting on the behalf of or in concert with the Vendor, and shall at its own cpsts <br />and expense defend and protect the City against any and all such claims or demands. <br />Insurance Coverage <br />4.04 The Vendor shall purchase and maintain public liability and property damage and <br />vehicular insurance, in the amounts and with the coverage as set forth in the request for <br />pr.oposals attached hereto as Exhibit A, naming the City as an additional insured thereunder. <br />1n addition, Vendor shall maintain such insurance as will protect it from clairns under the <br />Workmen's Compensation acts and other employee benefit acts from claims for damages <br />because of bodily injury, included death to him, employees and all others.
