law, ordinance, or rule or regulation, of the federal, state, ar local government or government <br />agency relating to the preparation, processing, cooking, handling or sale of food products; <br />(fl The Vendor's failure to comply with any obligation imposed upon it by this <br />Agreement. <br />ARTICLE SIX. CONTRACT REMEDIES <br />6.01 If the Vendor engages in conduct which constitutes an event of default as set forth <br />above, the City may terminate this Agreement after first giving Vendor notice in writing that it <br />is in default and affording Vendor five (5) days time to cure the default. <br />ARTICLE SEVEN. OTHER PROVISIONS <br />Modification <br />7.01 This Agreement may not be modified, amended, or supplemented in any manner except <br />by the express written agreement of both the Vendor and the City, and approved by ordinance. <br />Affirmative Action and Equal Employment <br />7.02 The Vendor shall furnish satisfactory proof to the City that it is in full compliance with <br />all applicable Affirmative Action Equal Opportunity Laws, whether Federal, State or of the <br />City of North Olmsted. Such satisfactory proof shall be provided at the written request of the <br />City no more then ten (10) days from the date of a request by the City. <br />Special Events and Extenuating Circumstances <br />7.03 The City shall have the right to enter into concession agreements with other groups, <br />organizations, or other entities for the purposes of selling food and non-alcoholic beverages in <br />City parks for special events or when other circumstances exist which, in the City's judgment, <br />require additional concession services to be available in the City parks for members of the <br />public. Furthermore, the City also reserves the right to provide exclusivity of the use of its <br />park premises under such circumstances or during such special events. <br />Governing Law and Venue <br />7.04 The parties acknowledge and agree that the subject matter of this Agreement bears a <br />reasonable relation to the State of Ohio and they therefore agree that the laws of the State of <br />Ohio shall govern their rights and duties hereunder. The parties further agree that the <br />exclusive venue for any action brought by either party to enforce any of the provisions of this <br />Agreement, or to recover damages for any breach of the provisions of this Agreement, shall be <br />Cuyahoga County, Ohio. <br />5
