Assignment of Agreement <br />5.03 This Agreement shall be binding upon the respective heirs, executors, administrators, <br />successors, and to the extent assignable, on the assigns or nominees of the parties hereto. <br />Environmental Assessment <br />5.04 This Agreement is contingent upon an environmental assessment to be conducted at <br />Buyer's expense, prior to Closing, disclosing no violations of any state or federal environmental law <br />or regulations; Seller shall provide to Buyer any and all prior environmental reports in Seller's <br />possession. Buyer shall be responsible for all costs of obtaining governrnental approvals. From and <br />after execution of this Agreement and until Closing, Buyer and Buyer's agents shall have full right <br />of ingress and egress over and through the Property for the purposes of (a) inspection, performing <br />environmental tests, engineering andlor architectural drawings, and other such observations and tests <br />as Buyer may desire, all of which, except as otherwise set forth in this Agreement, shall be at <br />Buyer's expense, and (b) enabling Buyer to negotiate and enter into a new lease agreement with <br />Seller's tenant, namely, JAMES LUMBER COMPANY, as contemplated herein. From and after <br />the execution of this Agreement until Closing, Seller shall perform all necessary maintenance and <br />repairs to the Property, shall operate the Property only in the ordinary course of business, and shall <br />take all necessary measures to maintain good business relationships with the tenant, namely, <br />JAMES LUMBER COMPANY, and shall not solicit or accept any other offer to purchase all or <br />any part of the Property. <br />Real Estate Broker/Agent <br />5.05 Seller and Buyer warrant and represent to each other that no real estate broker initiated <br />or otherwise brought about the sale of the Property.
