provision and such applicable Regulations, rulings, announcements, notices, procedures and determinations pertinent to that Section. "Continuing Disclosure Certificate" means the certificate authorized by subsection (c) of Section 6, to be substantially in the form on file with the Clerk of Council, and which, together with the agreements of the City set forth in that subsection, shall constitute the Continuing Disclosure Agreement made by the City for the benefit of holders and beneficial owners of the Bonds in accordance with the Rule. "Depository" means any securities depository that is a clearing agency under federal law operating and maintaining, with its Participants or otherwise, a book entry system to recard ownership of book entry interests in Bonds or the principal of and interest on Bonds, and to effect transfers of Bonds, in book entry form, and includes and means initially The Depository Trust Company (a limited purpose trust company), New York, New York. "Escrow Agreement" means the Escrow Agreement between the City and the Escrow Trustee, as it may be modified from the form on file with the Clerk of Council and executed by the Director of Finance in accordance with Section 8 of this ordinance. "Bscrow Fund" means the Escrow Fund established pursuant to Section 9 of this ordinance. "Escrow Trustee" means National City Bank, Cleveland, Ohio, as the initial escrow agent with respect to the Refunded Bonds under the Escrow Agreement and until a successor Escrow Trustee shall have become such pursuant to the provisions of the Escrow Agreement and, thereafter, "Escrow Trustee" shall mean the successor Escrow Trustee. "Interest Payment Dates" means June 1 and December 1 of each year during which the Bonds are outstanding, commencing December 1, 2001. "Original Bond Legislation" means, collectively, Ordinance No. 92-116 passed by this Council on October 6, 1992, and the related certificate of award dated November 25, 1992, signed by the Director of Finance pursuant thereto, authorizing the issuance and sale of the Original Bonds. "Original Bonds" means the City's $1,438,500 Street Improvement Bonds, Series 1992C, issued as a part of a consolidated issue of $11,085,000 Various Purpose Bonds, Series 1992, dated as of December 1, 1992, pursuant to the Original Bond Legislation. "Original Purchaser" means NatCity Investments, Inc., Cleveland, Ohio. "Participant" means any participant contracting with a Depository under a book entry system and includes securities brokers and dealers, banks and trust companies, and clearing corporations. "Principal Payment Dates" means December 1 in each of the years from and including 2001 to and including 2012. -3-
