~, <br />Tax Exemption Agreement page 3 <br />City of North Olmsted - YIRS, Ltd. <br />North Olmsted Industrial Park <br />7. The estimated value of the payroll for the employees referred to in paragraph 6 above <br />is $2,400,000.00-$2,500,000.00 for the first year following completion of construction, and <br />$2,900,000.00-$3,000,000.00 for the years following thereafter. <br />8. The number of employee positions, if any, at the property and at any other location in <br />this state at the time the agreement is executed, itemized as to the number of full-time, part-time, <br />permanent, and temporary positions, are listed in Exhibit C, which is attached hereto and <br />incorporated herein by reference. <br />9. The real property which is to be exempted from taxation under this Agreement is <br />identified and legally described in Exhibit D, which is attached hereto and incorporated herein by <br />reference. <br />10. The real property described said Exhibit D shall be exempted from taxation according <br />to the following percentage and for the following period: thirty-five percent (35%) for ten (10) <br />years. The exemption commences the first year for which the real property would first be taxable <br />were that property not exempted from taxation. No exemption shall commence after January 1, <br />2000, nor extend beyond December 31, 2010. <br />11. The Company shall pay such real property taxes as are not exempted under this <br />Agreement and are charged against such property and shall file all tax reports and returns as <br />required by law. If the Company fails to pay such taxes or file such returns and reports, <br />exemptions from taxation under this Agreement are rescinded beginning with the year for which <br />such taxes are charged or such reports or returns are required to be filed and thereafter. <br />12. The Company hereby certifies that at the time this Agreement is executed, the <br />Company does not owe any delinquent real or tangible personal property taxes to any taxing <br />authority of the State of Ohio, and does not owe delinquent taxes for which the Company is liable <br />under Chapter 5733., 5735., 5739., 5741., 5743., 5747., or 5753. of the Ohio Revised Code, or, if <br />such delinquent taxes are owed, the Company is currently paying the delinquent taxes pursuant to <br />an undertaking enforceable by the State of Ohio or an agent or instrumentality thereof, has filed a <br />petition in bankruptcy under 11 U.S.C.A. 101, et seq., or such a petition has been filed against the <br />Company. For the purposes of this certification, delinquent taxes are taxes that remain unpaid on <br />the latest day prescribed for payment without penalty under the chapter of the Revised Code <br />governing payment of those taxes. <br /> <br />
