ENTERPRISE ZONE AGREEMENT This Enterprise Zone Agreement ("the Agreement") is made and entered into this __ day of , 1997, by and between the City of North Olmste Ohio and Ohio municipal corporation and political subdivision ("the City") and Cargill n, a corporation organized under the laws of ~, and authorized to conduct business in the State of Ohio ("the Company"), under the following terms and conditions. WHEREAS, the Council of the City, pursuant to Ordinance No. 92-22, requested the designation of certain territory of the City of North Olmsted, Ohio ("the City") as an Urban Jobs and Enterprise Zone ("the Enterprise Zone"); and WHEREAS, the Board of County Commissioners of the County of Cuyahoga ("the ~~ County) adopted a resolution on May 5, 1992, designating such area as an Enterprise Zone pursuant to §§5709.61 to .66, inclusive, of the Ohio Revised Code ("the Act"); and WHEREAS, effective June 8, 1992, the Director of Development of the State of Uhio determined that the Enterprise Zone met the requirements set forth in §5709.61(A)(1)(a), (c), and (f) of the Ohio Revised Code and certified the Enterprise Zone as an Urban Jobs and Enterprise Zone under the Act; and WHEREAS, the City has encouraged the development of real property and the acquisition of personal property located in the Enterprise Zone; WHEREAS, the Company is desirous of establishing a facility in the City of North Olmsted within the territory of the City and the County for use as a regional headquarters, and hiring new employees ("the Project") within the Enterprise Zone, provided that the appropriate development incentives are available to support the economic viability of the Project; and WHEREAS, the City is desirous of providing the Company with incentives available for the development of the Project in the Enterprise Zone under the Act; and WHEREAS, the Company has submitted a proposed agreement application (attached hereto as Exhibit A) to the City pursuant to §5709.62(B) of the Ohio Revised Code ("the Application"); and WHEREAS, the Council of the City has reviewed the application of the Company and has recommended the same to the Board of County Commissioners on the basis that the development of the project in the Enterprise Zone by the Company will improve the economic climate of the City; and WHEREAS, pursuant to §5709.63 of the Ohio Revised Code, the parties hereto desire to set forth their agreement with respect to matters hereinafter contained.
