7. If, for any reason, the Enterprise Zone designation expires, or the Council revokes <br />the designation of the Enterprise Zone, or if the Director of Development for the <br />State of Ohio revokes certification of the Enterprise Zone, any entitlement to tax <br />exemption, as set forth in paragraph four (4) herein, shall continue for the number <br />of years specified in paragraph four (4) herein, provided that the Company fulfills <br />the terms of this agreement. <br />If the Company fails to fulfill the terms of this agreement, the City shall have the <br />right to request the termination or modification of the tax exemption set forth in <br />paragraph four (4) herein. <br />9. The Company, the City, and the County each acknowledge that this Enterprise <br />Zone Agreement must be forwarded to the Ohio Department of Taxation and the <br />Ohio Department of Development within fifteen (15) days of execution hereof. <br />10. Except for an assignment by the Company to any parent or subsidiary of the <br />Company which will operate the Project, the tax exemption benefits of this <br />agreement cannot be assigned without the express written consent of the City. <br />11. The Company agrees to pay to the City the amount of two thousand dollars <br />($2,000) for attorney's fees relating to the preparation of this agreement. <br />12. If, at any time during the term of this agreement, the Company wishes to further <br />expand its project, the City agrees to consider a new tax exemption package upon <br />terms and conditions agreeable to both parties. <br />IN WITNESS WHEREOF, the parties hereto have caused this instrument to be <br />executed as of the date first written above. <br />NORTH OLMSTED, OHIO <br />By: <br />Ed~vnr~ .Boy , Mny <br />~./c.
