<br />described land, for the cansideration of Une r)ollar {~1.Q0) and ather valuable considerations, the receipt
<br />of which is l~ereby acknowledged, does hereby grant, give, sell, and convey unto The Cleveland Electric
<br />Iliiiminatin2 Company and The Ohio Bell "Telephone Cornpan}', t~hio Corporations, their successors and
<br />assigns {hereinafter referred to as the Grantees;) the right oi' way and easement to construct, reconstruct,
<br />operate, supplement, repair, maintain., relocate, renew, and rerao~e such. underground electric and!or
<br />communication cables, ducts, conduits, surface or below-ground mounted transformer installations,
<br />service pedestals, concrete pads, and other facilities as are deetrted necessary or convenient by the
<br />Grantees for distributing and transmitting eleetricit}' andior for communication systems for public or
<br />private use at such locations as C`irantees may determine, u}~,on, within and across the 1'ollowirtg described
<br />prortiises, to wit:

<br />Said easement rights shall include the right, without liability therefore, to remove trees and landscar ing,
<br />including lawns, within and without said easement premises which tztay interfere with the installation,
<br />maintenance, repair, or operation of said electric andlor telephone facilities, and with the right of access,
<br />ingress, and egress to and from any of the within described premises for exercising any of the purposes
<br />of this right of way and easement grant.
<br />Irvery building, editrce or other structure on aforesaid premises shall be restricted to atzd serviced by
<br />underground electric cables and the facilities Located on or beneath the groutad surface appurtenazat to
<br />said underground electric cables as are necessary or convenient for the operation and maintenance of said
<br />underground electric cables. In the event of a distribution or service cable failure, temporary service
<br />connections will be made, using above graund or overhead conductors.
<br />The grade or contour of the aforesaid easement premises shall not hereafter be substantially increased,
<br />decreased ar otherwise -ettan.ged or altered without the written consent of • The Cleveland Electric
<br />Illuminating Company, its successors anal assigzts. This shall constitute express notice that changes in
<br />grade or land contour may result in damage to underground electric facilities.
<br />TO HAVE AND T4 HOLD said right of way and easement right hereby granted unto the said Gre.tttees,
<br />their successors and assigns uzttil such time as the lease agreement with AT&T Wireless pCS, inc., its
<br />successors and assigns, is terminated, and the said Grantor, the City of North Glmsted hereby eovet~ant
<br />with said Grantees, their successors and assigns, that the City of North Glrtisted is the true and la~vful
<br />owner of said premises and is well seized thereof, and that the City. of North Qltxxsted has full right and
<br />power to grant the rights conveyed.
