The Owna shall provide professional <br />credit for the Architect on the construcdon sign and in the pro- <br />modonal materiaLs for the Project. <br />ARTtCLE 10 <br />PAYMENTS TO THE ARCHfTECT <br />10.1 DIRECT PERSONNEL EXPENSE <br />10.1.1 Direct Personnel Expense is de6ned as the direct <br />salaries of the Architect's personnd cngaged on the Project and <br />the ponion of the cost of their mandatory and customary con- <br />tributions and benefits related thereto, such as employmenc <br />taxes and other statutory employee beneSts, insurance, sick <br />leave, holidays, vacadons, pensions and similar contributions <br />and benefits. <br />10.2 REIMBURSABLE EXPENSES <br />10.2.1 Reimbursable Expenses ue in addidon to compensa- <br />tion for Basic and Additional Scrvices and include expenses <br />incurred by the Archicect and Architect's employees and con- <br />sultants in the interest of the Projec[, as identified in the follow- <br />ing Clauses. <br />10.2.1.1 Expense of transponacion in connection with the <br />Projcct; expcnses in connection with auchorized out-of-cown <br />travei; long-distance communications; and fees paid for secur- <br />ing approval of authorides having jurisdiction over the Project. <br />10.2.1.2 Exponsc of reproducdons, postage and handling of <br />Drawings, Speciticadons and other documenu. <br />10.2.1.3 If authorized in advancc by the Owner, expense of <br />overtimc work requicuig higher than regular rates. <br />10.2.1.4 Expcnse of rendtrings, modeLs and mock-ups requested <br />by the Owncr. <br />10.2.1.5 Expense of additionai insurance coverage or limits, <br />including profcssional liability insurance, requested by the <br />Owner in excess of that normally carried by the Architect and <br />Architect's consultants. <br />10.2.1.6 Expense of computer-aided design and draf[ing <br />equipment time when used in connection with the Project. <br />10.3 PAYMEMTS ON ACCOUNT OF BASIC SER1/ICES <br />10.3.1 M initial payment as set forth in Paragraph 11.1 is the <br />minimum payment under this Agreement. <br />10.3.2 Subsequent payments for Basic Services shaU be made <br />monthly and, where applicable, shall be in proportion to ser- <br />vices performed wichin each phase of service, on che basis sec <br />for[h in Subparagraph 11.2.2. <br />10.3.3 If and to the extent that the time initially established in <br />Subparagraph 11.5:1 of this Agreement is eaoCeetkd or extended <br />through no fault of the Archicect, compensation for any ser- <br />vices rendered during the additional period of time shall be <br />compuced in che manner set fonh in Subpuagraph 11.3•2. <br />10.3.4 When compensation is based on a percentage of Con- <br />struction Cost and any portions of the Project are deleced or <br />otherwise not constructed, compensadon for those ponions of <br />the Project shall be payable [o the extent services are per- <br />formed on chose portions, in accordance with the schedule set <br />forch in Subparagraph 11.2.2, based on (1) che lowest bona fide <br />bid or negotia[ed proposal, or (2) if no such bid or proposal is <br />received, the most recent preliminary estimate of Construction <br />Cosc or decailed estimace of Consuuction Cosc for such por- <br />dons of the Project. <br />10.4 PAYMENTS ON ACCOUNT OF ADDITIONAL <br />SERViCES <br />10.4.1 Payments on account of the ArchitccYs Additional <br />Serviccs and for Reimbursable Expenses shall be made monthly <br />upon presen[ation of the Architect's statement of services ren- <br />dered or expenses incuned. <br />10.5 PAYMENTS WITHHELD <br />10.5.1 No deductions shall be made from the Architect's com- <br />pensation on account of penalty, liquidated damagcs or other <br />sums wichhcld from paymenrs to conuactors, or on account of <br />the cost of changes in the Work other than those for which the <br />Architect has been found to be liable. <br />10.6 ARCHITECT'S ACCOUNTING RECOADS <br />10.6.1 Records of Reimbursable Expenses and expenses per- <br />taining to Additional Services and services performed on the <br />basis of a muldple of Direct Personnel Expense shall be avail- <br />able to the Owner or the Owner's authorized represen[ative ac <br />mutually convenient times. <br />ARncLE 1 I <br />BASIS OF COMPENSATION <br />The Owner shall compensate the Architect as follows: <br />11.1 AN INI'TIAL PAYMENT of N/A Dollars (i N/A <br />shalt be made upon execudon of this Agreement and credited to the Owner's account at final payment. <br />11.2 BASIC COMPENISATION <br />11.2.1 FOR BASIC SERVICES, as described in Article 2, and any other services included in Article 12 as part of Basic Services, Basic <br />Compensation shall be computed as follows: <br />(Insert basis oj cornpensation, iruluding strpulated sums, multip/es or percerrtages, and identijy phases to wbich particutar methods oj compensation apply, ij <br />n¢cessary.) <br />Based on a FIXED FEE not to exceed $12,000. for all work as described in original <br />RFP dated Feb. 19, 1998. <br />p1A DpqJVMT 8141 • OWNER-ARCHITECT AGREEMENT • FOURTEENTH EDITION • AIAO •@1987 <br />THE AMERICAN INSTI7'UTE OF ARCHITECTS, 1735 NEW YORK AVENUE, N.W., WASHINGTON, D.C. 20006 6141-1987 S <br />WARNING: UnNcensed Photocopyin9 violates U.S. copyrigM laws and is subisct to legai prosecution. <br />
