"Expenses <br />of opetation, maintenance and repiacement of the Joint Use Facilities" and <br />"expenses of operating, maintaining and replacing the Joint Use Facilities", <br />as used in this Agreement, mean all reasonable and proper expenses of operat- <br />ing and maintaining the Joint Use Facilities, including all ordinary replace- <br />ment costs, all customary and usual expenses of maintenance and repair, and <br />all administrative, engineering and labor expenses required to perform the <br />same, but excluding capital debt service and further excluding extraordinary <br />capital replacements. Such extraordinary capital replacements, if Fairview <br />Park is to participate in the cost thereof, shall be made upon terms as are <br />mutually agreeable to North Olmsted and Fairview Park, and incorporated, if so <br />determined, in an amendment or supplement hereto. "Expenses of operation, <br />maintenance and replacement of the Joint Use Facilities" and "expenses of <br />operating, maintaining and replacing the Joint Use Facilities" shall not <br />- 14 -
