Indenture, provided, however, that no rate on an yBond shall exceed 10 % per annum; the first interest payment date shall not be later than January 1, 1993 and the maturity date of the latest maturing Series 1992 Bond shall not occur later than March 15, 2004. Principal of and interest and any premium on the Series 1992 Bonds shall be payable as provided in the Indenture, in each instance, without deduction for the services of any paying agent. (c) c ' n. The Series 1992 Bonds shall be signed by the Executive and by the Fiscal Officer in their official capacities (provided that any or all of those signatures may be facsimiles). Section 5. Sale of Series 1992 Bonds. Ain date of their deh ??; very. ?: The Execudve, the Fiscal Officer or the Clerk, alone or in any combination, are authorized and directed to make the necessary arrangements with the Originai Purchaser to establish the date, location, procedure and conditions for the delivery of the Series 1992 Bonds to the Original Purchaser and to take all steps necessary to effect due execudon, authentication and delivery to the Original Purchaser of the Series 1992 Bonds under the terms of this Bond Legisladon, the Indenture and the Purchase Agreement. It is determined by this Legislative Authority that the price for and the terms of the Series 1992 Bonds, and the sale thereof, all as provided in this Bond Legislation and the Indenture, are in the best interests of the Issuer and are in compliance with all legal require- ments. The use and distribution of the Offering Circular in substantially the form now on file with the Issuer, with such revisions or changes as shall be approved by the Executive or the Fiscal Officer, and any supplements thereto, is authorized hereby. Approval of revisions or changes to the offering circular shall be deemed conclusive by execution and delivery of the Purchase Agreement by the officer or officers signing same and/or by a certificate of the Execudve or the Fiscal Officer setdng forth such approval. The Issuer has not confirmed, and assumes no responsibility for, the accuracy, sufficiency or fairness of any statements in the Offering Circular or any supplements thereto, or in any reports, financial information, offering or disclosure documents or other information in any way relating to the Project, the Borrower, the Guarantor or the Original Purchaser. Section 6. Allocation of Proceeds of Series 1992 Bonds. The proceeds from the sale of the Series 1992 Bonds (including without limitation, any interest accrued thereon) shall be deposited and credited as set forth in the Indenture. Section 7.
