3. Charges, payments of any sort or description which are incidental <br />to, and pertaining to the awarding and or enforcing the terms and <br />conditions of the franchise, including but not limited to charges or <br />payments made by the GRANTEE for bonds, letters of credit, <br />insurance, indemnification penalties, liquidated damages, <br />attorney fees, judgments or any fee imposed under title 17, United <br />States Code or the acceptance fee as required by Section XXXII, or <br />funds expended therefrom. <br />SECTION XVIII: <br />RECORDS, REPORTS AND FILINGS <br />A The GRANTEE shall keep and maintain complete and accurate books of <br />account and records of its business and operations under and in connection with the <br />terms of this Agreement. <br />B. The Mayor or his or her authorized agent shall have access to all books <br />of account and records of the GRANTEE for the purpose of ascertaining the <br />correctness of any and all reports and shall be given access to the aforementioned <br />records and books; along with access to any other books or records reasonably <br />deemed applicable to the enforcement of this agreement by the City. The GRANTEE <br />shall provide such required access upon Reasonable Request, within a Reasonable <br />Time. <br />C. Upon request the GRANTEE shall provide the City with copies of all <br />petitions, applications and communications which the GRANTEE has submitted to the <br />Federal Communications Commission, Securities and Exchange Commission, or <br />any other Federal or State Regulatory Commission or agency having jurisdiction with <br />respect to any matters affecting the Cable System. All such petitions, applications, <br />and communications shall be submitted to the City promptly after such request. <br />D. Upon request the GRANTEE shall provide copies of communications and <br />documents which the GRANTEE has received from the Federal Communications <br />Commission and other agencies mentioned within this Section, Subsection D, within <br />a Reasonable Time of receipt thereof. <br />E. Any false entry in the book accounts or records of the GRANTEE or false <br />statements in reports to the City or the Mayor as to material facts, knowingly made by <br />the GRANTEE, shall constitute the breach of a material provision of this Agreement <br />and the franchise. <br />27 <br />
