<br />REVOCABLE LICENSING AGREEMENT
<br />THIS AGREEMENT, made at North Olmsted, Ohio, this day of ,
<br />1996, by and between the City of North Olmsted, an Ohio municipal corporation ("City"), and
<br />the Sandy Ridge Homeowners' Association, a non-profit corporation (hereinafter, "Homeowners'
<br />Association").
<br />WHEREAS, the Homeowners' Association has requested the City grant it a license to
<br />install, maintain and (if so directed) remove signage -and appurtenant iandscaping up•)n the
<br />property owned by the City in accord with specifications and drawings approved by the City;
<br />and

<br />the rights, obligations, duties and liabilities of each.
<br />NOW THEREFORE, in cons:dematic : of Lhe foregoing premises and the mutual Fr.^..^_'1Se-s
<br />hereinafter set forth, the parties agree as follows:
<br />1. The City grants the Homeowners' Association a limited revocable license to install
<br />an entranceway sign and landscaping within the right-of-way on the south side of Limpert Lane,
<br />at Dover Center Road; on the north side Park Place at Canterbury Road; and o.n the north side
<br />of Chapel Hill Drive at Canterbury Road, commencing upon the date of execution of this
<br />Agreement by the City following authorization by the Council of the City.
<br />2. This Revocable Licensing Agreement shall continue from year to year until such
<br />time as the City, for any reason whatsoever, shall direct that the signage and/or the appurtenant
<br />landscaping be removed. In the event of such action, the City shall give the Homeowners'
<br />Association thirty (30) days notice to remove, during which time the Homeowners' Association
<br />shall, at its sole cost, remove such signage and/or landscaping, and restore the site to a final
<br />grad:d, seeded condition. If, for any reason, the Homeowners' Association should fail to
<br />comply with the direcfive of the City within the thirty (30) day period, then the City may, on
<br />its (;wn, rei.-mve the signage and landscaping, restore the premises to a final graded, seeded

<br />3. The+Homeowners' Association agrees to maintain its sign and landscaping in
<br />accordance with the plan it submitted to, and which was previously approved by the City, a copy
<br />of which is attached hereto as Exhibii "A". In the event that the Homeowners' Association fails
<br />to maintain the sign and landscaping as presented within its plan (a "default"), the City may,
<br />after notice the to Homeowners' Association and the lapse of thirty (30) days without the
<br />Homeowners' Association remedying such default to the reasonable satisfaction of the City,
<br />revoke this license and recover from the Homeowners' Association damages from any injury
<br />caused to the City's property, including its reasonable cost of restoring the property to a final
<br />graded, seeded condition.
