<br />CONSTRUCTION COST USE OF ARCHITECT'S DRAWINGS,
<br />SPECIFICATIONS AND OTHER DOCUMENTS
<br />5.1 DEFINITION
<br />5.1.1 The Construction Cost shall bc the rotal cost or esti-
<br />matcd cost to the Owncr of all clcmcnts of the Project dcsibncd
<br />or specifed by the Architect.
<br />5.1.2 Thc Construction Cost shall includc the cost at currcnt
<br />markct ratcs of labor and matcrials furnishcd by the Owncr and
<br />cyuipmcnt dcsigncd, spcciGcd, sc:lcctcd or spccially providcd
<br />for by the ArchiCcct, plus a reasonablc allowancc for the Con-
<br />tractoi s ovcncead and profit. In addition, a rcasonablc :dlow-
<br />anrr for contInKcncics sh:dl lx incluclccl for markct conditions
<br />at thc timc of bidding and for chanbcs in thc Work cluring
<br />construction.
<br />5.1.3 Construction Cost does not include the compensation of
<br />the Architcct ancl Architcrt's consultants, the costs of the lancl,
<br />rights-of•way, financing or c>thcr costs which :u•c thc resp>n-
<br />siUility of the Owner as providcd in Articlc 4.
<br />5.2 RESPONSIBILIl'Y FOR CONSTRUCTION COST
<br />5.2.1 It is rccognized that ncidiec the Architect nor the Owner
<br />has control ovcr the cost of IaUor, matcrials or equipmcnt, ovcr
<br />the Contractor's mcthods of clctcrniining Uicl rriccs, or ovcr
<br />rompxtitivc bictcling, markct or ncgoti:Uing con(litions. Accorcl-
<br />ingly, the Architcct cannot and docs not warrant or rcprcscnt
<br />that bids or negotiated prices will not vary from any cstimatc of
<br />Conswction Cost or cvaluation prcparcd or agrccd to by thc
<br />Architcct.
<br />5.2.2 No fixed limit of Construction Cost shall bc cstablishcd
<br />as a condition of this Agrccmcnt by the furnishing, proposal or
<br />cstablishmcnt of a Projcct budgct, unlcss a fixcd limit has bccn
<br />:igrrccl ulx)n in writing :incl signccl by the partics hcrcto. Fixcd
<br />limits, if any, shall be incrr.iscd in thc :unownt of .ui incrcasc in
<br />`thc Contract Sum occurring aftcr cxccution of the Contract for
<br />Construction.
<br />5.2.3 Any Projcct budgct or fixcd limit of Construction Cost
<br />may bc adjustcd to rcflcct changcs in the gencral levcl of pricc:s
<br />in the con.titruction industry bctwccn the datc of submission of
<br />the Ctinstruction Documcnts to the Owncr and thc datc on
<br />which proposals are soubht.
<br />5.2.4 If a fixcd limit of Construction Cost is cxccc:dccl by thc
<br />Icnvcst bona fide bid or negotiatcd proposal, the Owncr shall:
<br />.1 givc writtcn approval of cun incrcasc in such fiaccl
<br />limit;
<br />.2 authorizc rcUidding or rcncgotiating of the Projcct
<br />within a rcaxonablc timc;
<br />.3 i( the Vrojcrt is :ihanclunccl, tcrminatc in accorclanc:c
<br />with Par.igraph 8.3; or
<br />.4 coopcr.uc in rcvising the Projcct scope and quality as
<br />rcquircd to rcducc the Ccrostruction Cost.
<br />5.2.5 If the Owner chooscs to procccd undcr Clausc 5.2.4•4,
<br />the Architcct, without additional chargc, shall modify the Con-
<br />tract Documcnts as ncccs.sary to comply with the fixcct limit, if
<br />cstablishcct a.y a rimcliticm af thia A};rccmcnt. 'I'hc modilir.uion
<br />uf Contract Dcxumcnts shall bc; the li?nit of thc Architcct's
<br />responsibility arising out of the cstablishmcnt of a fixcd limit.
<br />The Architect shall Ue entided to com}xnsation in accorcL•uicc
<br />with this Agrcemcnt far aU xcviccs pcrformcd whcthcr or not
<br />the Construction Pha.sc is commenced.
<br />6.1 '1'hc Drawings, Spccilications :und othcr clocumcnts prc-
<br />parca by the Architcct for this Projcct arc instrumcnts of thc
<br />Architcct's scrvicc for usc solcly widi respect to this Projcct,
<br />and the Architcct shall bc deemcd the audhor of these docu-
<br />mcnts and shall retain all common law, statutory and othcr
<br />reserved rights, including the copyright. The Owner shail be
<br />pccmittcd to rctain copics, incluclinb rcproduciblc copics, of
<br />thc Architcct's Drawings, Spccifications and othcr docwncnts
<br />(or infonnation and refcrencc in conncction with dic Owncr's
<br />usc :ind occu13-1111cy of thc Projcct. Thc Archiccct's Drawui};s,
<br />Spccifications cx olhcr documcnts shall not bc uscd by thc
<br />Owncr or othcrs on other projccts, for additions to this Project
<br />or for complction of this Projcct by odhcrs, unlcss thc Architect
<br />is adjudsed to bc in def:wlt under this Agrecmcnt, except by
<br />agrccmcnt in writing ancl with appropri:uc compcnsation to thc
<br />Archilcct.
<br />6.2 SuUmission or discribution of documents to meet official
<br />rcgulatory rcquiremcnts or for simi(ar purposcs in conncction
<br />with the Projcct is not to bc construed as publication in dcroba-
<br />tion o( thc Architcct's reserved rights.
<br />ARTICLE 7
<br />ARBITRATION
<br />7.1 Claims, disputcs or other matters in qucstion between the
<br />partics to this Agrccmcnt arising out of or rc:L•uing to this Agrec-
<br />ment or brcach thcreof shall Ue subject to and dccided by arbi-
<br />tration in accordancc with the Consuvction Industry Arbitra-
<br />tion Rulcs of the American Arbitration Association currently in
<br />cffcct unlcss the partics mutualty agree otherwise. No arUitra-
<br />tion arising out of or rclating to this Agreement shall includc, by
<br />consolidation, joinder or in any other manner, an addition:il
<br />pcrson or cntity not a party to this Agrcement, cxcept by writ-
<br />tcn conscnt cont:iining a spccific rcfercncc to this Agrcement
<br />signc:d by the Owner, Architcct, and any other pcrson or cntiry
<br />sought to bc joincd. Consent to arbitr.uion involving an addi-
<br />tion:d pcrson cx cntity shall not constitutc conscnt to arbitra-
<br />tion oC :uny claim, disputc or othcr mattcr in qucstion not
<br />describccl in thc written consent. 'I'hc foreboing agrecmcnt to
<br />arbitratc :uid othcr abrccmenGS to arbitr.itc with an additional
<br />pcrson or cntity dtdy conscntcd to by the partics to this Agrco-
<br />nunt shall bc spccifirally cnforccable in accordancc with appli-
<br />cablc law in any court having jurisdiction thcrcof.
<br />7.2 In no cvcnt shall the demand for arbitration bc made aftcr
<br />thc datc whcn institution of Icg:d or cquitablc procccclinp
<br />b:Gtic(l on such daim, disputc or othcr mattcr in yucstion would
<br />bc barrcd by the applicablc statutcs of limitations.
<br />7.3 Thc awarcl rcnclcrccl by the arbi[rator or arbitr,uors shall bc
<br />final, and juctgmcnt may bc cntcrcd upon it in accordancc with
<br />applicablc law in any court having jurisdiction dlcrcof.
<br />ARTICLE 8
<br />TERMINATION, SUSPENSION OR ABANDONMENT
<br />8.1 This Agrecment may bc cerminatcd by eithcr party upon
<br />not Icss than scven days' written nouce should the other party
