<br />considered to be an independent contractor of the City under the terms and conditions of this <br />Agreement. <br />Parties Bound <br />7.07 This Agreement shall be binding upon and inure to the benefit of the parties and their <br />respective officers, employees, heirs, executors, administrators, legal representatives, <br />successors. <br />Legal Construction <br />7.08 In case any one or more of the provisions contained in this Agreement are held or <br />otherwise determined to be invalid, illegal, or unenforceable in any respect, such invalidity, <br />illegality, or unenforceability shall not affect the validity, legality or enforceability of any <br />other provision, and this Agreement shall be construed as if the invalid, illegal, or <br />unenforceable provision had never been contained in it. <br />Subletting or Assigning <br />7.09 The Vendor is prohibited from assigning, subletting, or otherwise transferring by <br />contract, in part or in whole, any portion of this Agreement, without the express written <br />consent of the City. <br />Notices <br />7.10 Any notice required or permitted to be given under the provisions of this Agreement <br />shall be valid if personally deiivered or sent by certified mail, return receipt requested, and <br />addressed to the City at: Office of the Mayor, City of North Olmsted, 5200 Dover Center <br />Road, North Olmsted, Ohio 44070, and to the Vendor at: Angelina's Pizza, 30594 Lorain <br />Road, North Olmsted, Ohio 44070. <br />Non-Waiver <br />7.11 The parties agree that the failure of either party to exercise, or its delay in excerising, <br />any right, power, or privilege under this Agreement shall not be deemed to be or operate as a <br />waiver of any of its rights, powers, or privileges under this Agreement. <br />7
