, <br />? <br />TTEM FIVE: Additional Rights and Obligations of Seller and Purchaser. <br />(a) Purchaser agrees that it shall renovate the building on said property substantially in <br />accordance with the drawing attached hereto as Exhibit "A". <br />(b) Seller agrees to vacate premises at time of closing. <br />ITEM SIX: Expenses of Closing, <br />The expenses of closing described in this Item shall be paid in the following manner: <br />(a) The full cost of securing title insurance described in Item Four sha11 be paid by the <br />Purchaser. <br />(b) The cost of preparing, executing, and acknowledging any deeds or other instruments <br />required to convey title to the Purchaser shall be paid by the Seller. <br />(c) Any cost of transfer and recordation of title shall be paid by the Seller. <br />(d) Any tax imposed on the conveyance of title to said property to the Purchaser shall be <br />paid by the Seller. <br />(e) Any escrow fee charged by the escrow agent sha11 be shared equally. <br />ITEM SEVEN• Binding Agreement <br />This Agreement shall be binding upon and inure to the benefit of the Seller and the <br />Purchaser, and their respective heirs, executors, administrators and assigns. This Agreement <br />contains all of the terms and conditions of this transaction upon which Seller and Purchaser have <br />agreed. <br />Purchaser represents and states that it has read this Agreement and fully understands its <br />entire contents; that it has inspected the subject real property to its complete satisfaction and is <br />entering into this Agreement having full knowledge of the complete physical condition of said <br />property and that it is purchasing said property in an as-is condition; and that the Seller has made <br />no written or oral representations to it about the physical condition of the property, other than as <br />expressly stated in this Agreement. <br />ITEM EI HT: Failure to Perform. <br />Purchaser agrees that, should it fail to perform its obligations under this Agreement, Seller <br />shall be entitled to pursue any remedy available to it at law or in equity.
