Upon occupation of the premises, the Trustees shall be <br />deemed to have accepted the buildings and improvements therein in their then <br />state and condition and without any representation or warranty by the ~"it,y a~, r.~:: <br />the condition of said building ar improvements; and the City sYiall not be re- <br />sponsible for any latent or other defect or change in their condition, and the <br />performance of the obligations of the Trustees hereunder shall not in any case <br />be withheld or diminished on account of any defect or change in their condition. <br />Section 20. The Trustees shall. have na right to assign this lease ~~r <br />any right, title, interest, estate or obligation of the Trustees hereunder, :~r <br />to sub-lease, without the express prior written consent of the City; pravi.ded, <br />however, that in the event that the Trustees shall consolidate with or• transfer <br />all of their assets to another public: .library system governed by the provisio:i:7 <br />of Chapter 3375 of the Revised ','ode cf Ohia, then the rights and obligations <br />hereunder shall inure to anc3 become the obligations of the resulting public <br />library system. <br />Section 21a If the Trustees at any time during the term of this lease, <br />^~ shall fail to observe or perform any of the Trustees' covenants, agreements or <br />~ obligations hereunder, and if any such default shall not be cured within thirty <br />(30) days after the City shall have given to the Trustees written notice specif`y~ <br />ing such default or defaults, and i.f at the expiration of said number of days <br />after the service of such notice the default or happening of the contingency up~r, <br />which said notice was based shall continue to exist, or in the case of a defau:'t <br />or contingency which cannot with due diligence be cured within a period of <br />thirty (3U) days, if the Trustees fail. to proceed promptly after the service of <br />~ such notice and with all due diligence to cure the same and thereafter to prose- <br />cute the curing of such default with all due diligence (it being intended that <br />in connection with the default not susceptible of being cured with due diligence <br />within thirty (30) days that the time of the Trustees within which to cure the <br />same shall be extended for such period as may be necessary to ~ompiete the same <br />with due diligence}; or if the Trustees abandon or vacate the said premises with <br />out authorization or permitted cause; then in say such event, the City shall. have <br />-9- <br />i <br />
