FIREHOUSE <br />Software' <br />A Xerox Solution <br />17 <br />understandings, negotiations and discussions, whether oral or written, of the Parties pertaining to the <br />subject matter hereof. <br />15.7 Notices <br />Any notice, demand or other communication required or permitted to be given under this <br />Agreement will be in writing and will be deemed delivered to a Party (i) when delivered by hand or <br />courier, (ii) when sent by confirmed facsimile with a copy sent by another means specified in this <br />Section 15.7, or (iii) six (6) days after the date of mailing if mailed by United States certified mail, <br />return receipt requested, postage prepaid, in each case to the address of such Party set forth below (or at <br />such other address as the Party may from time to specify by notice delivered in the foregoing manner): <br />If to Customer, to: <br />North Olmsted Fire Department <br />24291 Lorain Rd <br />North Olmsted, OH 44070 <br />Attn: Edward M. Schepp <br />15.8 Survival <br />If to Xerox, to: <br />Xerox Government Systems, LLC. <br />2900 100`h Street, Suite 309 <br />Urbandale, IA 50322 <br />Attn: Accounts Manager <br />Any provision of this Agreement which contemplates performance or observance subsequent to <br />any termination or expiration of this Agreement, will survive expiration or termination of this <br />Agreement. <br />15.9 Independent Contractors & Use of Subcontractors <br />Xerox will perform its obligations under this Agreement as an independent contractor of <br />Customer. Nothing in this Agreement will be deemed to constitute Xerox and Customer as partners, <br />joint ventures, or principal and agent. Xerox has no authority to represent Customer as to any matters, <br />except as expressly authorized in this Agreement or in an authorized Supplemental Service Agreement. <br />Xerox has the right to use, if appropriate, qualified third party vendors. <br />15.10 Counterparts <br />This Agreement may be executed in one or more counterparts, each of which will be deemed an <br />original but all of which taken together will constitute one and the same instrument. <br />A Xerox Solution — North Olmsted Fire Department <br />FIREHOUSE Software Agreement Agreement for Hosting Services - Confidential <br />
