CITY OF NORTH OLMSTED <br />RESOLUTION NO. 2014 - 69 <br />BY: Mayor Kennedy <br />A RESOLUTION DISPENSING WITH THE STATEMENT OF <br />QUALIFICATIONS "SOQ" PROCESS AND AUTHORIZING <br />THE MAYOR TO ENTER INTO A CONTRACT WITH THE <br />LAW FIRM OF SQUIRE PATTON BOGGS LLP TO PROVIDE <br />PROFESSIONAL SERVICES AS THE CITY'S BOND <br />COUNSEL, AND DECLARING AN EMERGENCY. <br />WHEREAS, the law firm of Squire Sanders Dempsey has provided representation <br />to the City of North Olmsted in matters of municipal borrowing and municipal finance <br />since at least July 1, 1921; and <br />WHEREAS, the City of North Olmsted has been well served by the law firm of <br />Squire Sanders and, specifically, Squire attorney John Larson since at least 1983; and <br />WHEREAS, historical services provided include, but are not limited to, all facets <br />of municipal borrowing (notes and bonds); the restructuring of municipal debt; advising <br />of financing options relative to municipal capital projects; and the allocation of capital <br />debt repayment reflected in user charges set forth in the Sewer Service Agreement with <br />Olmsted Township and the City of Fairview Park; and <br />WHEREAS, the City of North Olmsted Director of Finance in 2009 (2009 -31) <br />engaged in the SOQ process to ascertain the suitability of others to provide municipal <br />bond counsel services; and <br />WHEREAS, in 2009, Squire (then Squire Sanders Dempsey) was selected in the <br />SOQ process to serve as bond counsel for the years 2010 and 2011, with an option for <br />2012 and 2013; and <br />WHEREAS, given the significant historical knowledge of the City of North <br />Olmsted finances possessed by the attorneys of Squire Patton Boggs, together with the <br />prompt and professional services provided over the years, it is the recommendation of the <br />Mayor, Director of Finance and Director of Law that the City engage the services of <br />Squire Patton Boggs to serve as bond counsel for the City of North Olmsted; and <br />WHEREAS, North Olmsted Codified Ordinances Chapter 112 entitled "Personal <br />Service Contracts" at Section 112.10 entitled "Exceptions" specifically states that the <br />services of Bond Counsel can be acquired as an exception to the SOQ process; and <br />
