Kennedy, Mayor Squire Patton Boggs (US) LLP <br />September 19, 2014 <br />Page 2 <br />between $3,250 and $6,250, and our fees for such services in connection with a tax levy election will <br />ordinarily be between $1,500 and $3,500, in each case including disbursements and out -of- pocket expenses. <br />Also as has been the case for the past, unless otherwise agreed at the outset, our fees for legal <br />services in special counsel matters you refer to us from time to time will be determined on the basis of the <br />customary hourly rates of the attorneys and non - attorney personnel involved in providing the services and the <br />actual time expended. Our standard hourly rates for associates, partners and non - attorney personnel <br />throughout the United States currently range from $130 for new associates to $1,150 or higher for some of <br />our most senior partners and from $80 for new project assistants to $420 for experienced senior paralegals, <br />with most non - attorney billing rates falling within the range of $80 to $315. In addition, before beginning work <br />on a project or a particular phase of a project that we are requested to perform, we will be pleased to provide <br />an estimate of our fees for that project or phase. That estimate will be based upon the size and anticipated <br />complexity of the task. <br />We will plan to bill you for our bond counsel services at or promptly following the closing of each <br />financing transaction (or upon its abandonment if it does not proceed to a closing), for disclosure counsel fees <br />annually upon completion of the City's annual information filing, for election counsel services promptly <br />following the election and monthly for other special counsel services. <br />We wish to confirm that, in rendering all such legal services, as an independent contractor and in an <br />attorney client relationship, that Firm shall not exercise any administrative discretion on behalf of the City in <br />the formulation of public policy, expenditure of public funds, enforcement of laws, rules and regulations of the <br />City or of the State or any other public body, or the execution of public trusts. <br />We at Squire Patton Boggs truly appreciate the continuing opportunity to represent the City in all of <br />these matters and are looking forward to working with you and other City officials on our ongoing and <br />upcoming matters. Please confirm that the City desires the Firm to continue our engagement as described in <br />this letter by signing the enclosed copy of this letter and returning it to us. Please also retain an original for <br />the City's files. <br />You should also feel free to consult with independent counsel before signing.
